  • Provision of legal  advice and services to a US listed company with regards to its participation in a Joint Venture awarded a major multibillion tender issued by the Greek State for the Concession of a wide-range activities Casino Operating License and the development of an Integrated Resort and Casino in the area of the old airport of Athens.
  • Provision of legal advice and guidance in relation to the conversion of mixed-purpose SPVs to real estate owning companies and to companies-hotel operators.
  • Legal advice and drafting of relevant documentation for the acquisition of 100% of the shares of a Greek entity, including preparing the corporate resolutions and proxies for both contracting parties, issuance of new share certificates, etc.
  • Conducting legal due diligence to a Greek entity and its affiliates in view of the acquisition of a majority stake by a Dutch Company, including review of material contracts in place between the target company and its suppliers and distributors.
  • Providing legal advice to a client with regards to the acquisition of a hotel complex and three adjacent plots of land in the island of Evia including drafting of the Shares Purchase Agreement, and the legal due diligence report, the notarial transfer deeds, the structuring of the transaction and coordination between parties involved.
  • Providing advice in relation to the acquisition of three ground casinos, owned by the same holding company, each one of which is currently under restructuring, pending the court’s approval. Our advice included inter alia extensive legal due diligence reports on the three casino companies as well as the optimum financing scheme for the participation of the client to the target companies.
  • Ongoing legal assistance with regards to several contractual arrangements, including subcontracting of services to Greek companies, following the global merge of two express transportation companies and its effect to such subcontracting, housekeeping and arrangement of the company’s representation in Greece.
  • Provision of advice regarding the collaboration of a UK client with a Greek provider of educational services. Our advice included reviewing of the Program Approval Agreement as well as addressing various issues of Greek law.
  • Provision of legal advice and assistance with reference to a capital increase, the purchase of a minor shareholder’s shares, the interpretation of various contracts in place including the Concession Agreement in place with Athens International Airport and the Covid-19 effect to the latter.
  • Provision of advice and support for the incorporation of the client’s branch in Greece, for the purpose of executing construction works in certain petroleum refineries in Greece. Our Firm has also assisted in the initial negotiations and the post-closing phase.
