Advised a leading Qatari insurer on its conversion to a Q.P.S.C. and listing of 2 billion shares on the QSE. This high-profile USD 549 million IPO helped shape Qatar’s capital markets framework and marked a significant step in the evolution of local public shareholding companies.

Acted as Qatari counsel to a sovereign in its inaugural USD 12.5 billion Global Medium Term Note Programme. A first-of-its-kind issuance in Qatar, the matter involved complex cross-border structuring, local law risk assessment, and regulatory coordination to enable access to the London Stock Exchange.

Advised lenders on Qatari law aspects of a USD 10.3 billion cross-border petrochemical financing, including an English law-governed completion guarantee. Innovated a precedent-setting waiver of sovereign immunity and reconciled enforceability between Qatari and English law in one of Qatar’s most complex outbound guarantees to date.

Advised a regional energy group on its IPO and conversion to a Q.P.S.C., with 350 million shares listed on the QSE Venture Market. The USD 56.8 million transaction supports post-World Cup market stability and transparency in Qatar’s oil and gas investment landscape.

Acted for a UK-headquartered financial services group in its application for a QFC investment banking licence. The cross-border submission involved regulatory strategy, governance planning, and the integration of AI-driven financial services across the UK, Singapore, and Qatar. Matter value: USD 549 million.

Team Services

Sharq Law Firm’s Corporate and Commercial team lies at the heart of the firm’s multidisciplinary practice, advising sovereign entities, listed companies, and international clients on strategic transactions, complex regulatory matters, and corporate structuring. The team is led by Partner Marwa Bamatraf, a recognised authority in capital markets, M&A, banking and finance, and governance.

Its expertise spans the full transactional lifecycle—from incorporations and joint ventures to IPOs, cross-border financings, and major restructurings. Regularly engaged as Qatari counsel on high-value, multi-jurisdictional mandates, the team is particularly active in matters governed by the Qatar Financial Centre (QFC) and Qatar Financial Markets Authority (QFMA). It also plays a leading role in sovereign transactions and legislative reform at the Emiri level.

Alongside its transactional practice, the team advises on Islamic finance, financial services regulation, and competition law. It has an increasingly prominent tax practice, with capabilities in structuring, and contentious tax matters, especially for high-net-worth individuals and investment vehicles.

The practice is consistently recognised across leading legal directories for its depth in construction, real estate, and infrastructure. The team advises on project structuring, development agreements, procurement frameworks, and regulatory compliance—often in the context of government-led initiatives and large-scale private developments. It acts for employers, developers, and contractors on matters involving FIDIC-based contracts, project financing, and land use regulation.

Sharq’s white-collar and investigations capability is also anchored within the department, advising on fraud, regulatory enforcement, internal investigations, and reputational risk—particularly in matters involving public entities and regulated sectors.

Working across key industries such as energy, infrastructure, healthcare, and technology, the team is supported by a multilingual bench of locally and internationally qualified lawyers.  Sharq is known for its legal precision, commercial acuity, and trusted handling of Qatar’s most complex corporate mandates.
