Experience

  • Santander Group: Advises Banco Santander Uruguay on the bank´s daily businesses, with special focus on banking, financing, regulatory, commercial, contractual and project finance matters. She also advises other local entities of the Group, whose business activities are regulated by the Central Bank on regulatory matters, such as Paganza (electronic money issuer), New Age Data (administrator of POS’ net), Ecolicua (digital insurance broker) and Getnet (acquiring entity).
  • Zurich Santander Seguros: Advises on the company’s daily businesses, with special focus on insurance, regulatory, commercial, contractual, corporate and corporate governance matters.
  • Redpagos: advises the company as a money transfer entity, electronic money issuer and payment services provider regulated by the Central Bank of Uruguay on its regulatory, contractual and corporate matters. Advised to the sellers on the process of selling the company’s shares to the Prosegur Group, including the negotiation of the share purchase agreement, assisting during the fulfillment of the conditions precedent (among others, the required of legal and regulatory authorizations) and on the closing of the transaction. She further advised the company in connection with the spin off of its electronic money issuance business.
  • Subordinated loan: advised a German bank) in granting a subordinated loan to a local bank in accordance with the regulations of the Central Bank relating to tier 2 capital.
  • Financing reestructure: advised on the assignment by Santander Madrid to Santander Uruguay of all its rights and obligations (including local guarantees) under a USD82,6 MM financing granted to Atlantica Yield, as beneficial owner of a 50MW windfarm located in Uruguay.
  • Paganza: Advised on the closing of the purchase of shares of Paganza, a well-known fintech and licensed to operate as an electronic money issuer, by Retop S.A., a Uruguayan company of Santander Group. She further advised on the corporate restructure pursuant to which Paganza’s shares were sold to Superdigital, a Spanish company of Santander Group, who owns and develops online platforms in several Latin American countries, providing financial products and services under a “banking as a service” business model.
  • Fenicio: advised Odaner S.A., a top ranked telecommunication company, part of Isbel Group, in the acquisition of 20% of the shares of Fencio, a leading e-commerce platform which provides e-commerce services to retail companies.
  • Credileads: advised Santander Group in the acquisition of 100% of the share interest in Credileads, a digital marketing company, focus on advertising financing offers.
  • Ecolicua: Advised on the acquisition by Grupo Santander of an online car insurance comparison and purchase platform, including leading the due diligence process and development of the legal analysis (with focus on corporate and contractual areas), negotiation of the share purchase agreement, advising during the fulfillment of the conditions precedent (including the required legal authorizations) and on the closing of the transaction.
