Career

Guus Kemperink has broad experience in M&A and joint ventures, both in relation to private and listed companies. Over the years, he has acted for a wide range of companies and financial institutions in Dutch and cross-border transactions. He has a sharp eye for the strategic aspects of transactions and can advise beyond the purely legal aspects of the deal. His practice includes corporate governance matters, where he advises on board governance and defense strategies against unsolicited bids and activist shareholders. Guus is valued for his diplomatic yet effective negotiating skills and his ability to find practical, realistic solutions in high-pressure situations faced by private and listed companies.

Guus is highly recommended in The Legal 500 EMEA. Clients describe him as “a very experienced lawyer with unique expertise, notably in tailored bids/M&A” and “a seasoned and determined lawyer and where necessary a fighter”.

Admitted to the Amsterdam Bar in 1984, Guus was awarded a Ph.D. from Erasmus University Rotterdam in 2013 for his thesis on the supervision of the target company by the supervisory board in the situation of both a friendly bid and a contested and hostile bid. In 2023, he published a monograph on board strategy and policy for bidders and target companies in the context of unsolicited bids, as part of the academic series of the Law Institute of Nijmegen University.
