  • Served as the Slovenian counsel for the purchase of United Tower telecommunication infrastructure by TAWAL, a Saudi Telecom Company.
  • Facilitated the KGAL financial/real estate fund’s acquisition of the Slovenia-listed company Nama.
  • Guided Tuš Holding and AH Invest 1 in the sale of their shares in Engrotuš, a major Slovenian retail entity, to the leading retailer Mercator.

Banking and finance:

  • acted for EBRD and four other members of a consortium of banks on a cross-border syndicated financing of group DON DON to the sum of €52m, which, among others, provided funds for the acquisition of bakery business unit Pekarna Grosuplje;
  • advised B2 Kapital as a potential investor in the process of NPL corporate portfolio disposal of NLB in Slovenia and Croatia and of NPL corporate portfolio disposal of UNICREDIT BANKA SLOVENIJA;
  • advised Innova Capital in collaboration with Dentons on €27m financing of Slovenia’s Trimo Group provided by NLB;
  • advised seven syndicated banks in the process of refinancing of Unior.

Dispute resolution:

  • acted for Slovenian national airline company Adria Airways in aviation airplane crash accident dispute in Serbia and in a €8.7m dispute over the capital increase value (in kind contributions) in subsidiary company;
  • acted for Telekom Slovenije in a €54m dispute against former management board for the breach of duty of care; acting for Petrol in a €2.5m dispute against insolvent construction company over the effects of the insolvency procedure on its collateral and in a €1.4m dispute against Slovenian bank over the payment on the basis of documented letter of credit;
  • acted for Engrotuš in a €6.7m dispute over the real estate purchase deal;
  • representing Fondazione Cassa di Risparmio di Imola in front of the Slovenian Constitutional court and CJEU in a €8.5m dispute against the Slovenian Central Bank regarding the write-off of shares and subordinated debt as a financial restructuring measure in favour of a major Slovenian bank NLB;
  • representing a minority shareholder in a dispute regarding assembly resolution of a €1.1M distribution of profit.

Real estate:

  • acted for Slovenian travel company Collegium Mondial Travel on the €50m transfer of ownership of a Croatian island Obonjan within a joint venture;
  • continuously representing SKB Bank (OTP Group) in various real estate transactions in Slovenia with the aggregate yearly value of €40m;
  • acting for Sberbank in various real estate transactions in Slovenia with the aggregate yearly value of €20m;
  • advised Triglav Upravljanje Nepremicnin d.d., a Slovenian real estate management company, in the process of negotiation and agreeing on a long term lease contract with the European Union, represented by the European Parliament.

Restructuring and insolvency:

  • advised Tušmobil on its €450m out-of-court financial restructuring;
  • acted for six banks and Slovenian bad bank (BAMC) in the out-of-court financial restructuring of CIMOS’ €450m overall debt and in the compulsory settlement proceedings;
  • acted for domestic and foreign financial creditors in out-of-court financial restructuring of the €35m debt of VIVAP Videm
