Career

Carlotta joined Deloitte Legal in 2019, after working for several years as a consultant for the international law firm Simmons & Simmons LLP, in the Milan and London offices.

Carlotta’s activity is focused on two main lines: advising on M&A transactions, which she has been regularly providing for about 20 years in favour of private equity funds and industrial players, and assisting companies operating in the luxury sector in structuring international joint venture agreements or other associative forms aimed at developing licensing and distribution and services agreements worldwide. In the latter activity, Carlotta has developed a decade of experience with particular reference to the perfume sector and, more generally, the beauty industry.

In the context of M&A transactions, Carlotta’s activity covers all corporate aspects: from the coordination of legal due diligence, to investment agreements, SPAs, SHAs, management incentive agreements (carried interest, stock options, warrants, etc.), structuring of leavership clauses, call/put option agreements.

Education

Carlotta graduated from the Università Cattolica del Sacro Cuore of Milan in 2002 and has been a member of the Italian Bar Association since 2006. She regularly participates in conferences as a speaker on subjects related to M&A transactions.
