Position

Company law, corporate insolvency, financial services, partnership and related commercial litigation. Currently, about 75% of cases are contentious matters, with the remainder being non-contentious advisory work. Notable recent cases include: Re Dee Valley Group Plc [2017] EWHC 184 (Ch) (acting for members objecting to a takeover by scheme of arrangement); Brightside Group Ltd v RSM UK Audit LLP (acting for claimants in auditor’s professional negligence claim – objection to service dismissed); JSC Mezhdunarodniy Promyshlenniy Bank v Pugachev (successfully resisted application by trustees to discharge freezing order); Birdi v Specsavers Optical Group Ltd [2015] EWHC 2870 (Ch), Autonomy Corporation Ltd v Lynch and Hussain (acting for HP entities in breach of fiduciary duty and deceit claim). Re Charterhouse Capital Ltd [2015] EWCA Civ 536 (trial and on appeal for successful respondents in relation to private equity firm unfair prejudice petition); Global Energy Horizons Corp v Grey [2012] EWHC 3703 (Ch) (imposition of fiduciary duties in a non-traditional context); Broughton v Kop Football (Cayman) Ltd [2012] EWCA Civ 1743 (acting successfully for RBS on numerous hearings, applications and an appeal on the Liverpool FC litigation); MSL Group Holdings Ltd v Clearwell International Ltd [2012] EWCA Civ 1440 (test for disguised distributions); Halliwells v Austin [2012] EWHC 1194 (Ch) (construction of retirement deed, meaning of fraud, enforceability of releases); Belmont Park Investments PTY Limited v BNY Corporate Trustee Services Limited [2011] UKSC 38 (scope of anti-deprivation principle in Lehmans’ insolvency); Fulham Football Club (1987) Ltd v Richards & Anor [2011] EWCA Civ 855 (arbitrability of shareholder disputes); various large commercial arbitrations. Company advisory work includes many reductions of capital and members’ schemes of arrangement.
