Position

Martin is a leading Silk for company law litigation and advice, corporate finance, financial services, and insolvency. He has particular expertise in corporate transactions and reorganisations, and schemes for transfer of insurance and banking business (Part VII transfers). He is heavily engaged in Brexit planning and transactions for financial services groups. Significant cases and transactions include: Old Mutual plc, Worldpay Group plc, Booker Group plc, SAB Miller plc, Dee Valley Group plc, Home Retail Group plc, Glencore / Xstrata, Vodafone / Verizon. Significant Part VII transfers include: the ring-fencing schemes for each of Barclays, Lloyds, HSBC and Santander, Commercial Union Life Assurance Company Ltd (reattribution of inherited estate); Aviva International Limited; (large scale general insurance reorganisations); Prudential Assurance Company (domestication of Hong Kong branch) and long-term business reorganisations for Aviva, Phoenix Group and Scottish Equitable. Insolvency cases include Lehmans Brothers International. General corporate litigation includes: Thermodynamics Inc v Turbotec Products plc (breach of duty, unlawful return of capital) and Bumi Resources plc (s.994 unfair prejudice petition) and Bank of East Asia Limited in Hong Kong. He has written two published opinions for the FRC on the True and Fair requirement, has advised on Bermudan, Hong Kong and Channel Islands law and has given expert evidence in the US and Australia.
