Career

Paulo Larrain is partner of DLA Piper Chile since 2018. Before that he was a founding partner of the law firm Noguera Larrain & Dulanto on 2007 and stayed as partner until 2018 when such firm merged with BAZ|DLA Piper. Previously he was a partner of Morales, Noguera Valdivieso & Besa (1998-2007) and worked with Morrison and Foërster LLP (1997) and Cleary Gottlieb Steen & Hamilton (1997-1998).

Mr. Larrain concentrates his practice in corporate matters, mergers and acquisitions, project finance and capital markets. He has participated in several public and private acquisitions of companies and/or assets, locally and abroad, representing both buyers and sellers. Among these, he has represented the Chilean Government in privatization processes of state-owned companies, and has advised several bidders in public and pri- vate tender bid processes, including private equity funds and strategic buyers or sellers.

He has also represented lenders and debtors in financing and refinancing processes through placement of bonds, loan agree- ments and other financing structures. Mr. Larrain represents also several multinational companies in their operations in Chile.

  • Sentencing guidelines for corporate manslaughter

    In February 2010 the Sentencing Guidelines Council (the SGC) issued definitive guidelines to courts on imposing appropriate sentences for corporate manslaughter and health and safety offences causing death. The SGC states that fines imposed on companies found guilty of corporate manslaughter should not fall below £500,000, while fines in respect of health and safety offences that are a significant cause of death should be at least £100,000. Crucially, the SGC declined to provide for a fixed link between the imposed fine and the turnover or profitability of the offending company.
