Joey Silver is a corporate and private equity lawyer with an international practice focused on representing private equity funds, venture capital funds and corporations with investments, mergers and acquisitions and corporate matters.

Joey has extensive experience serving as outside general counsel to technology and healthcare companies, including providing guidance on structuring and negotiating common and preferred stock investments, joint ventures, public/private and private/private mergers and acquisitions, and general corporate matters. He works with institutional investors in fund formation and the purchase, sale and financing of their portfolio companies.

As counsel to numerous technology and healthcare companies and other growing businesses, Joey advises clients on various legal and business matters, including entity formation, corporate governance, capitalization, equity compensation, capital raising and customer contracts.

Joey is a member of the Firm’s Policy Committee and a member of the Leadership Committee of the US Private Equity practice.

Recent Representative M&A Transactions:

• Counsel to numerous VC and PE-backed companies in mergers and acquisitions ranging in price from less than $10 million to over $700 million

• Counsel to several public technology companies in implementing acquisition strategies in different industries, including software, consumer products, insurance, transportation, electronic trading, healthcare IT and healthcare services

Recent Representative Venture Capital and Private Equity Transactions:

• Counsel to technology, healthcare and life sciences companies in more than 100 recent issuances of equity and debt securities

• Counsel to private equity funds, venture capital funds and corporate, strategic and angel investors in more than 100 recent financing transactions

• Represented institutional investors in the formation of private equity funds and venture capital funds, along with numerous associated portfolio company investments and acquisitions

It advised ABRY Partner on the sale of Datapipe to Rackspace Hosting and its controlling shareholder Apollo Global Management. Chicago’s Robert Davis and Atlanta partner Gerry Williams are also highly rated. Former co-chair of the private equity department Steven Napolitano and the former co-managing partner of the Chicago office Brendan Head departed for Kirkland & Ellis LLP in 2018;  Daniel Eisner, a former co-chair of the private equity department has also left the firm to launch OilCoin, a cryptocurrency based on oil reserves.
