John Beahn has extensive experience in commercial, transactional and national security matters affecting wireline and wireless service providers, submarine cable operators, telecommunications equipment manufacturers, media and content providers and information technology companies. He also represents private equity firms, investment firms and commercial banks in communications, media and technology matters.

John’s advice on commercial matters includes structuring and negotiating content distribution and licensing agreements, cable affiliation agreements, telecommunications and wireless services agreements, master services agreements, capacity lease agreements, private line agreements, data protection agreements, satellite transponder agreements and technology development agreements.

John’s transactional practice includes structuring advice and regulatory assistance to domestic and international media and content providers, telecommunications carriers and wireless providers regarding mergers and acquisitions and corporate finance activities, among them debt placements and equity offerings. He represents clients in the structuring and negotiation of strategic relationships in a variety of content, telecommunications, wireless and broadband business alliances. He also assists content providers, carriers, financial advisors and investment firms in obtaining federal and state regulatory approvals regarding mergers and acquisitions, debt offerings and corporate finance activities.

John also has extensive experience representing telecommunications providers and vendors, information technology companies and defense/aerospace clients in national security reviews before the Committee on Foreign Investment in the United States, the “Team Telecom” executive branch agencies and the Defense Security Service. His representations include structuring and negotiating national security agreements for some of the largest and most complex transactions ever approved by the U.S. government.
