Diego Noguera has broad experience in general corporate matters, mergers and acquisitions, securities and capital markets, compliance, and corporate governance.

In the course of his professional practice, Diego has represented domestic and foreign companies in the buying and selling its assets, both inside and outside of Chile, as well as debt restructuring of companies and corporate reorganization. In addition, he has advised companies on the local and international placement of securities, among them are shares, bonds and ADRs.

Currently, Diego co-heads the local Compliance practice, advising diverse companies in the development and implementation of regulatory compliance models, in the preparation of policies, procedures, reporting channels, risk matrixes, and control panels, under best practices and market standards.

Finally, Diego has served as a director of different companies, and he has advised on numerous corporate governance matters to companies and families.

Fielding seven practitioners, DLA Piper Chile‘s ‘highly thorough’ capital markets practice handles IPOs, private and public placements, securities issuances and capital increases. Other areas of strength range from mergers and divisions, to publicly-held companies’ share exchanges, stock options, American depositary receipts, stock options, and bond issuances and credit line registrations. Department head and venture capital specialist Matías Zegers consistently advises both funds and large-scale ventures; Marco Salgado is a public and private M&A expert; Diego Noguera‘s practice covers M&A transactions, capital markets, compliance, corporate governance and family wealth matters; and recently promoted Jorge Timmermann focuses on M&A structuring, and stock purchase and shareholder agreements. Counsel Josefina Consiglio has M&A experience (particularly as regards the acquisition of energy projects), but is particularly focused on corporate governance matters.

Chile > Compliance

DLA Piper Chile‘s compliance practice has enviable experience in the forestry, mining, retail, energy, publishing and heavy machinery sectors. The scope of the team’s expertise includes regulatory compliance assessments, the implementation of risk-matrix compliance control mechanisms; designing Law 20,393-related compliance programs; criminal liability prevention models; compliance certification processes; and corporate compliance-related internal investigations. The practice is co-headed by corporate and capital markets specialist Diego Noguera, who routinely identifies potential conflicts of interest between private entities and public agencies; and Mauricio Halpern, whose recent experience includes assisting Finning Chile with a corporate criminal liability compliance programme. At associate level, in addition to her dispute resolution practice, Andrea de la Vega advises companies on criminal liability-related regulatory compliance matters.
