Giles Belsey focuses his practice on financial services matters, with a particular emphasis on debt capital markets. Mr Belsey frequently advises on standalone and structured note issuances, medium term note programs, convertible bonds and hybrid capital. Additional transactions on which he regularly counsels clients include asset-backed financings, including securitisations, debt restructurings and tender offers.

Dechert LLP, whose global private equity platform expanded significantly in 2016 off the back of a number of key hires (including the arrivals of Ross Allardice and John Markland from White & Case LLP and Kirkland & Ellis International LLP respectively), has made further investments to build out its offering; corporate and debt finance expert Robert Bradshaw joined from Kirkland & Ellis International LLP in April 2017, with corporate/private equity partner Christopher Field and tax specialist Jane Scobie subsequently making the same move in September that year. The growth of the practice has also been reflected by the firm successfully winning work from a number of new clients, including Ares Capital Management, Astorg Partners and Nordic Capital. Markland, Bradshaw and finance partner Giles Belsey acted for South Korean memory chip manufacturer Sk hynix Inc as one of the members of a consortium (led by Bain Capital), which acquired Toshiba Corporation's NAND flash memory and solid state drive business for $18bn. In another matter, Field, Scobie and Markland were part of the team which advised an affiliate of Sun European Partners and other selling shareholders on the potential sale of Albéa SA to PAI Partners. Field and Allardice co-head the team with Douglas Getter and Jonathan Angell. Mark Evans and Tony Brown are notable associates.

Headed by Paul Fleming, Dechert LLP's four-partner multi-disciplinary team has a particular focus advising bondholders (where the team is able to tap into the firm's vast fund client base) on 'complex international insolvency matters involving litigation in numerous jurisdictions'. 'A masterful strategist on complex litigation', Adam Silver 'grasps both the detail and bigger picture'; he continues to act for emerging markets hedge fund, Argentum Creek Partners, on challenging the restructuring of notes issued by the Berau Coal group. Leveraging their significant debt capital markets knowledge, in particular, Camille Abousleiman and the 'excellent' Giles Belsey are also regularly engaged in restructuring mandates.

Within: Securitisation

Dechert LLP¬†has a combined finance and real estate practice that focuses mainly on CMBS and RMBS deals, though it also handles¬†portfolios sales and acquisitions, warehouse financing and trade receivables deals, and CLOs. The firm acts for a number of leading players in the securitisation market, including asset manager Apollo Management International.¬†US-qualified¬†James Waddington¬†advised that client on a¬†CLO reset transaction relating to the issuance of¬† ‚ā¨414m in notes. He also acted for investment manager Marble Point Credit Management in the $650m acquisition of¬†American Capital CLO Management, which is a CLO investment manager with approximately $3.4bn in assets under management, across eight collateralised loan obligation vehicles. As part of the transaction he also¬†established Marble Point‚Äôs Guernsey Originator Fund to hold the risk retention securities in EU CLOs.¬†Key partner¬†Charles Malpass¬†advised private equity groups Apollo and Blackstone as co-investors in connection with a financial guarantee, comprised of a synthetic risk transfer, of a high-value commercial real estate debt portfolio.¬†Giles Belsey¬†advised¬†Investec Bank plc on a structured financing arrangement to provide secured debt finance to a new Luxembourg securitisation vehicle. Sarah Smith, who advises on the restructuring of structured finance instruments, joined from Akin Gump LLP¬†in April 2019.
