Jan Procházka is Partners and Co-Head of the Corporate Group in Prague and Bratislava with 20 years of experience in M&A, PE, corporate, banking and finance law.

He focuses primarily on M&A (domestic, cross-border, and regional), including private equity and joint ventures, and corporate (both corporate restructurings and corporate governance).

In terms of sectors, Jan focuses on manufacturing, automotive, renewable energy (photovoltaics), food and beverages, e-commerce, retail and hospitality and leisure.


Jan worked at the Dentons’ Prague office as an associate from 1998 to 2005. Between 2005 and 2010, he was a Senior Lawyer at Clifford Chance, Prague. In 2010, Jan rejoined Dentons as counsel.

Dentons' five-partner team, jointly led by Tomáš Bílek and counsel Jan Procházka, regularly handles cross-border mandates in the private equity, life sciences, TMT, e-commerce and automotive sectors; it further boosted its expertise in the energy sector by hiring Petr Zákoucký and two associates from Clifford Chance in 2017. Procházka and Chris Watkinson assisted Rockaway Capital with establishing a joint venture with Energetický a průmyslový holding and PPF Group, and the related transfer of the relevant e-commerce businesses operated by Rockaway Group via share deals to the future joint venture company Sully System. Other highlights include advising Argus Capital on the sale of Czech cable TV operator Rio Media to Kaprain Industrial and acting for Indoverse (Czech) Coal Investments on an auction process concerning the potential acquisition of three lignite power plants.

Dentons handles a broad range of energy and infrastructure matters, and particularly excels in financing, M&A and restructuring matters. The team advised Československá obchodní banka on a series of financing mandates, including the refinancing of a photovoltaic power plant, biogas station and on the financing of the purchase of land, and represented Sev.en EC in a reimbursement of gift tax dispute with the tax authority; the tax was imposed on free carbon dioxide emission allowances in breach of EU law. Practice head Petr Zákoucký heads the team and has notable expertise advising on environmental regulatory challenges faced by conventional power plants. Petr Slach and Jan Procházka are also recommended.
