Michael J. "Mick" Cochran serves as Chair of the Corporate Department and is the head of MLA's Private Equity and Hedge Fund group. Mr. Cochran is highly experienced in the areas of private equity, mergers and acquisitions, corporate finance and distress transactions. His core practice involves representing buyers, sellers and financiers in their investing activities. He also acts as a strategic advisor to clients with respect to a variety of financial, business and legal issues. Mr. Cochran's transactional experience includes representing clients in regulated industries. Mr. Cochran’s experience crosses a number of industries including life sciences and biotechnology, financial services, health care, industrial services, telecommunications, home furnishings, home textiles, and media. He has served on the board of directors of companies in the telecommunications and multi-media industries (PTV Holdings and First Call Wireless), home furnishings (Lanscott-Arlen Fabrics) and industrial services (IMS Group). His clients range in size from early stage companies to large multi-national corporations. Mr. Cochran’s private equity and hedge fund practice focuses on fund formation, growth equity, management buyouts, recapitalizations and spinouts. Prior to joining MLA, he was a founding member of a private equity fund based in Atlanta. His experience in private equity includes raising and deploying capital as well as portfolio management. He also works closely with sponsorless funds and private family offices in their investing activities. Mr. Cochran represents both companies and financial investors in the life sciences industry. His work includes M&A, collaboration agreements, joint ventures, licensing agreements, capital raising and supply agreements. As part of the Firm’s corporate finance practice, Mr. Cochran represents financial institutions, including commercial and investment banks in connection with debt and equity financings. He has particular experience representing non-bank lenders in their lending activities, including through the provision of subordinated capital and mezzanine financings. Finally, Mr. Cochran actively represents troubled companies and their capital providers in complex, distressed financial transactions. He also provides corporate advice to boards of directors and financial advisors in non-judicially supervised workouts. Mr. Cochran is listed in The Best Lawyers in America for Mergers & Acquisitions Law and Corporate Law.

Traditionally focused on the middle-market, Dentons has a growing track record in large-cap transactions. The ‘highly impressive and reliable M&A team’ has extensive experience advising Fortune 500 and middle-market companies, private equity investors, bidders and targets, financiers, and independent board committees, and it has particular skill in highly regulated sectors such as financial services, healthcare, life sciences, energy and technology. The team acted for family-owned global dairy products group Lactalis in its purchase of organic yogurt-maker Stonyfield Farm; and advised Intercontinental Exchange on its acquisition of global extranet and wireless services business TMX Atrium. Other highlights included the Kansas City team advising DiversiTech Corporation (DTC) - North America’s largest manufacturer of air conditioning condenser pads - and the DiversiTech management team on the sale of DTC to Permira funds; and acting for Shapiro Capital Management Company in its sale of a controlling interest of its registered investment adviser subsidiary, Shapiro Capital Management, to the parent company of American Beacon Advisors, Resolute Investment Managers. Michael Cochran is the US corporate practice group leader and divides his time between Atlanta and New York; Michael Froy in Chicago co-chairs the global corporate practice and global manufacturing sector; and New York-based Stephan Mallenbaum is noted for multi-party, multi-disciplinary transactions for global financial services, private equity and technology-driven companies.
