The ‘excellent’ team at DWF is noted for its private equity expertise and regularly advises on employee equity incentives. The team advised Tatton Asset Management on the pre-reorganisation of two groups of companies, and advised on the exercise and grant of share options in advance of its IPO. It also advised Velocity Composites on the drafting of EMI share scheme documentation for the grant of EMI options prior to the float of the company on AIM, advised Mini-Cam Holdings and its shareholders on the sale of the entire issued share capital of Mini-Cam Holdings to Halma, and advised Sofology and its shareholders on the sale of the entire issued share capital of Sofology to DFS. Liverpool-based senior associate James Cashman is recommended.

John Toon leads the group and specialises in property fund work and private equity issues; he is closely supported by senior associate James Cashman in Manchester who handles employee incentives, and Birmingham-based  Jon Stevens. Toon’s recent work includes advising Tatton Asset Management on its pre-IPO reorganisation, assisting Greater Manchester Waste Disposal Authority with the tax elements of the termination of the Greater Manchester Waste PFI project, and acting for Assura on the tax aspects of its acquisition of multiple property SPVs. Learning Technologies, Wm Morrison and Cornwall Council are also clients.
