Allen & Overy LLP
1221 AVENUE OF THE AMERICAS
NEW YORK, NY 10020

Energy: renewable/alternative power Tier 2

Led from New York by Kent Rowey and aided by practitioners based out of Washington DC, Allen & Overy LLP's 'versatile and responsive' projects, energy, natural resources and infrastructure group regularly handles renewables work for lenders, sponsors, developers and project companies, much of which has an international complexion. Although the firm has capability throughout the project life cycle, it is undoubtedly most well-suited and visible for investors in the latter stage as they look to realize value by taking out developer equity. Much of this M&A-related work is derived from foreign investors, many of which have broader institutional ties established through other international offices at the firm. While at the moment a substantial amount of this work relates to solar projects, the team is well positioned to leverage the firm's strong broader ties with many of the European developers that are expected to dominate deal flow in the burgeoning US offshore wind market. On the financing front, although the firm handles some work for commercial banks, under the guidance of 'exceptional' Spanish speaking Washington DC-based partner Sami Mir, it is particularly accomplished at representing export credit agencies and development banks in Latin American projects. The arrival of a six-partner team from Akin Gump Strauss Hauer & Feld LLP, including Washington DC-based renewables tax guru  John Marciano, as well as Daniel Sinaiko and Matthew Nesburn, who both reside in the firm's nascent Los Angeles office, is a major coup and has the potential to vastly enhance the firm's visibility in the domestic and international market.

Testimonials

The versatile team delivers high-quality work.’

It is a responsive team, available when needed and even able to prepare good power point presentations  – which is something rare for lawyers!

I was extremely impressed by Sami Mir’s ability to be on top of everything: drafting, meeting deadlines on turnaround of financing documents, key structuring issues, sound understanding commercial and financial aspects, all this while managing the transaction and a difficult group of lenders and a tough sponsor.’

‘The exceptional Sami Mir is probably the most well-rounded project finance attorney that I have had the pleasure of working with. He is not only excellent at what lawyers are trained to be good at – legal drafting and negotiation – but he also really understands the financial aspects of the deal, which enables him to negotiate even better for the lenders’ benefit.’

Allen & Overy LLP, having undergone a number of staff changes in recent years, is now in a position to provide a full-service offering to banks, direct lenders and other financial institutions, assisting with complex financings including mezzanine, bridge, alternative capital and asset-based loans. Testimonials

Jin Hee Kim is a recent addition to the team and is a trusted advisor we have worked with for many years. She brings a depth of knowledge on UCC Article 9 issues and properly advises in structuring complicated syndicated lending transactions.’

A&O has an excellent and deep commercial lending and leveraged finance practice which enables them to be incredibly responsive to client requests and tight deadlines – and to do so without sacrificing the quality of the work product which has been excellent. Beyond that, A&O has an incredibly broad global footprint and has offices in nearly every country in which we operate – which means we increase legal efficiency and decrease costs by not having to engage separate law firms in each jurisdiction in which we operate. In addition, as A&O provides legal advice and services to both lenders and borrowers, we, as a borrower, feel we get the benefit of lender side perspective, knowledge and technology.

Jin Hee Kim came highly recommended to me by one of my former colleagues. I think her background and experience separate her from some of her peer group – not only is she an expert in commercial lending, but she has also has experience in both corporate and M&A and has, herself, spent time in-house. Beyond that, here are the two main ways in which Jin Hee has really added exceptional value: (i) she has assembled a first rate team of finance attorneys on short notice to assist us on a global basis – and she has done an excellent job of managing that team and ensuring that our expectations are being met and exceeded, (ii) she has been an excellent resource for market information and has been able to guide our thinking in terms of different potential financing options. Jin Hee has also engaged associate Deland Ji in the NY office to work with us on our matters and we have been very pleased with the quality of her work.

The A&O team represents a wide range of clients – from banks to funds to sponsors – which allows it to know “what the other side is thinking”, a huge advantage to its clients.’

No one knows their documents like Judah Frogel. He doesn’t leave any stone unturned and has vast experience to call from when advising his clients. Incredibly user-friendly and commercial.

Strong team, particularly Rajani Gupta. The entire team is “commercial” and works well with their clients to deliver strong results for sponsors and their portfolio companies.

Rajani Gupta, in particular, stands out. She’s very smart and responsive and she works hard to find a fair result for everyone.’

This emphasis has landed the firm a series of headline and landmark deals including advising IFC on its $2bn working capital facility programme to fund emerging market banking clients for on-lending to small to medium business enterprises to help counter the negative effects of the Covid-19 pandemic. New York partner Dorina Yessios is another key figure in the team with excellent connections to commercial lenders. Former New York senior counsel Andrés Arnaldos Montaner has joined Ashurst LLP.

Testimonials

Efficient allocation of resources between the partner and the senior associate, deep knowledge of the financing product and its specificities, lots of patience to deal with a client and client”s counsel less familiar with this financing product.

The A&O team is well experienced in operating across the Latin American continent. Their skill and expertise in the region is first class.

Kudos to Sami Mir and Christine Steenman for closing this transaction. They were instrumental in bridging the gap between this investment grade client and the usual requirements of an ECA.

Dorina Yessios has a stellar team. They are adept at seeing all sides of the discussion and clearly and effectively leading the discussion to an acceptable commercial position for all stakeholders.

Dorina Yessios and her team showed determination, professionalism and honesty in their work as counsel to lenders. They not only did not appear to mind the long execution schedule, but also went the extra mile in de facto taking over the role of the coordinating bank and leading banks in their due diligence.

Testimonials

A&O is one of the more professional legal teams that we have encountered.’

A&O stands out for having teams committed to the transaction, led by the partner but in which the associates are divided according to the needs of the project. Thus, there are partners leading the negotiation of the project documents while there are others leading the financing documents. I like this way of dividing work.

A strong team with deep experience across asset classes and jurisdictions.’

Dorina Yessios is a fantastic projects and energy partner. She is experienced in operating across multiple jurisdictions, various asset classes, as well as on sponsor side and lenders’ side of a transaction. This has made her adept at finding solutions that work for all parties, leading to efficient document negotiations.
