The practice at CMS impresses with its combined derivatives and securitisation and structured finance offering. On the derivatives side, the team’s expertise in financial power purchase agreements is particularly noteworthy, but the group assists with regulatory and transactional matters across a wide range of instruments as well as with ISDA and FBF master agreements, securities lending and repurchase transactions. On the securitisation and structured finance side, the team is especially well known for its trade and finance receivables practice, but demonstrates strength across a broad range of assets. NPLs and UTPs and exotic assets such as tax receivables and receivables over public bodies are further areas of strength. Grégory Benteux heads the practice which is part of Marc-Etienne Sébire‘s wider capital markets team. Alexandre Bordenave and Rosetta Ferrère made partner in January 2021. Pauline Larroque was promoted to counsel in July 2020.

Sustainable and social bond issues are another area of strength. The team acts for French and foreign issuers and underwriters, including public entities and local authorities, in both national and cross-border matters involving other European jurisdictions. Marc-Etienne Sébire directs the team. Rosetta Ferrère made partner in January 2021.

L’équipe intervient aussi de manière croissance sur des émissions dites durables ou à social impact. La base de clientèle se compose d’émetteurs et de souscripteurs français et étrangers (y compris des entités publiques et des collectivités locales) qui font appel au cabinet pour leurs dossiers de dimension nationale comme paneuropéenne. Marc-Etienne Sébire dirige l’équipe, qui compte dans ses rangs Rosetta Ferrère (promue associée en janvier 2021).
Paris > Titrisation, dérivés et financements structurés
CMS combine de fortes expertises en matière de produits dérivés, de titrisation et de financements structurés. Sur le segment des dérivés, l’expertise est particulièrement remarquable pour les « power purchase agreements ». Elle couvre aussi les sujets réglementaires et transactionnels d’une large gamme d’instruments, ainsi que les dossiers ISDA et FBF, les prêts de titres et les opérations de rachat. En titrisation et en financements structurés, l’équipe est particulièrement réputée pour sa compétence dans le domaine des créances commerciales et financières, et intervient aussi dans des dossiers concernant des NPL, UTP et autres actifs « exotiques » (créances fiscales, créances d’organismes publics). La pratique est dirigée par Grégory Benteux et s’inscrit au sein de la pratique plus large de marchés de capitaux supervisée par Marc-Etienne Sébire .
