This was a complex sale of a majority shareholding in the client Company. The Purchaser was a Dutch based Company that had Dutch Lawyers and was seeking additional representation and advice from Dentons. The Company structure was complicated with various different subsidiaries and separate stand alone Companies with cross jurisdictional elements. It was necessary for the Lawyers on both sides to meet in Holland and then in the UK in order to discuss matters and a collaborative approach was taken in relation to the transaction.

It was necessary to involve the Employment and Commercial Property Team within the transaction and the transaction varied from many others on the basis of instead of continuous exchange of documentation the parties, including their Lawyers, met for three days on two separate occasions in order to negotiate the terms of the SPA and Joint Venture Agreement face to face, thus cutting down on the time spent on the transaction. 


The corporate team recently concluded the sale of the issued share capital in Permavoid Limited (together with associated Companies) to Polypipe Group Plc for an initial cash consideration of £4,000,000.00 on a debt and cash free basis with a deferred consideration of up to £12.5 million based on an earn-out provision.

The sale involved cross-jurisdictional matters with Lawyers acting in England, France and Holland and included detailed due diligence and disclosure along with a review and update of licensing and intellectual property right agreements.

The transaction was headed up by our Head of Corporate Law, Jonathan Aldersley, and was supported by the corporate team at the Gadbrook Park office.  There were aspects of the deal that were challenging , however, each party was delighted with the outcome with the required deadline met due to the hard work of all involved.
