In January 2018, the former Pacheco Coto stunned the Costa Rican legal market by announcing its integration into EY Law Central America. Hernán Pacheco O and Fernando Vargas now co-head the eight-partner corporate and M&A practice together with Juvenal Sánchez, formerly a member of EY’s associated legal arm, Integra Legal, which was fully assimilated in a 2017 merger. The team has significant experience assisting both the seller and purchaser side with cross-border and domestic M&A-transactions and advises on due diligence, corporate restructuring, and sector-related disputes. Recent highlights include representing the seller side in the sale of an equity participation in Industrias Farmaceuticas subsidiary, Infarma Laboratories; and assisting Pollos Pura Vida with the sale of its operations, properties and premises to CMI. Purchaser-side work includes advising Inbanano De Bristol on the acquisition of banana plantations. Other clients include Avon Products, Dole Food and Farmacias Santa Lucía.

Dispute resolution

Since Pacheco Coto’s January 2018 integration into EY Law Central America, the dispute resolution practice has been co-led by Allan Hernández and María del Mar Herrera. The practice group handles both arbitration and litigation and has been particularly active, of late, handling disputes arising from contract breaches and consumer protection matters. Recent defence-side work includes advising Verizon on a lawsuit brought against the client (and the Instituto Costarricense de Electricidad - ICE) by Trejos Hnos Sucesores, arising from an alleged breach of contract in connection with the publication of telephone directories; and, separately, against a related lawsuit filed by ICE against the client. In other work, Alejandro Antillón continues to represent Corporación Lady Lee in a number of civil, administrative and contractual procedures. Hernán Pacheco O and Fernando Vargas are also active in the sector.

EY Law Central America’s IP practice is led by Hernán Pacheco O, who joined the firm in course of its absorption of Pacheco Coto in January 2018. The department handles licensing, patent registrations, renewals, and prosecution and enforcement procedures, and is also particularly active in advising international clients on the IP aspects of their market entry into Costa Rica and Central America. Roxana Cordero Pereira, who is particularly experienced in trade mark protection, is another key figure in the department. The client roster includes domestic and multinational companies, such as Grupo Bimbo and Avon.

Pacheco Coto’s former managing partner, Alejandro Antillón played a key role in the firm’s merger in January 2018 into EY Law Central America where he now leads the firm’s real estate team. The practice has a broad service offering that includes advising on land and property acquisition, development and construction (of residential and mixed-use projects, vertical condominiums and shopping centres), and licenses and permitting, as well as joint ventures in the real estate sector. In one recent highlight, the team advised SunVesta on the development and construction of a $250m high-end hotel and resort in Guanacaste under the special legal regime pertaining to the Peninsula Papagayo tourism zone. Other notable work includes assisting Sensoria Project with the joint venture development of a $25m hotel next to the Rincon de La Vieja Reserve and volcano; and advising CasaMax Inmobiliaria on the structuring and execution of a joint venture for the development and construction of a residential project in San José. Environmental law expert Alberto Sáenz and Jorge González are also core members of the team. Other clients includes RC Inmobiliaria and Desarrollos HBQ.

Tax
Tax - ranked: tier 1

EY Law Central America’s five-partner tax practice excels in both contentious and non-contentious tax matters and principally advises on tax planning, structuring and restructuring, the tax aspects of M&A deals and joint ventures, and tax disputes with the authorities. The team’s experience also covers stamp duty matters. Recent work saw Randall Madriz lead advice to Standard Fruit in a judicial case regarding tax assessments issued by the tax authorities. Other work includes assisting Transportes Tical with tax matters regarding the restructuring of its investments in Guatemala and Honduras; representing Diversificados de Costa Rica (Dicori) in a tax audit and an administrative procedure against the tax administration; and advising Enjoy Group on the tax aspects of its acquisition of the Marriott Los Sueños and Marriott Belen hotels. Other key figures include Juan Carlos Chavarría, Antonio Ruiz Rojas and Rafael Sayagués. Other clients include RC Inmobiliaria, Comidas Centroamericanas and Volio & Trejos.
