Day-to-day matters include M&A transactions, formation, acquisition and dissolution of commercial companies, legal recognition of branches, structuring of various trusts (administration, financial, guarantee and investment), recurrent corporate advisory during the lifespan of companies and corporate planning and reorganization. More complex objectives also include comprehensive due diligence processes for domestic and international companies, advisory on shareholder and participation agreements and the recent development of Zorzal Inversiones Tecnológicas, Uruguay´s first simplified issuer of public offering.

Agustina´s assessment was a key tool for Terminales Graneleras Uruguayas´ (TGU) share restructuring, including a specific focus on matters associated with competition law, given TGU´s position in the Uruguayan market as one of Uruguay’s largest port stations. We also advised on the legal procedure to renew the concession of the port of Nueva Palmira. The ramifications of this engagement are substantial. TGU fortified its market position and contributed to a diversified maritime sector. This undertaking serves as a pioneering model for similar in Uruguay, enhancing both TGU’s capabilities and market dynamics.

Montecon, the main operator of public areas referred to public areas, containers, general cargo and project cargo, providing an integral world-class service, becoming the largest port operators in Uruguay. Our team has advised the Company on diverse legal issues, including M&A transactions and regulatory advisors.

Another recent key matter includes an exhaustive due diligence process conducted on NODUS group, for its acquisition by Ultramar, a maritime company of utmost importance. This process included negotiations and legal structuring as to proceed with the acquisition of shares and exhaustive assessment to Global Shipping Paraguay and Unimarine Paraguay on their association with Navemar, Paramar and Grupo Dos Santos.
