Jaime Herrera is a founding partner of Posse Herrera Ruiz. He heads the Mergers and Acquisitions and Corporate Law practice groups of the firm. His practice focuses on M&As, Infrastructure, Natural Resources and Energy Law.


His practice focuses on M&As, Infrastructure, Natural Resources and Energy Law (oil and gas, electricity and biofuels). Jaime advices clients on corporate expansion, investment strategies, complex local and international financings, and M&A in various sectors of the economy.

Co-led by senior partners Jaime Herrera and Daniel Posse – corporate and litigation specialists, respectively, both have considerable competition expertise – Posse Herrera Ruiz’s practice has extensive experience advising clients in all sectors of the economy, in competition law, antitrust regulation, M&A-filings and associated contentious matters. The 4-lawyer team also includes associates Juan Pablo Bonilla and Hernán Panesso and recently advised Jerónimo Martins in antitrust matters related to its establishment of a Colombian operation, including the expansion of its retail outlet business – a mandate involving 10 merger clearances over the past year. Other work saw the team assist Tronox obtain antitrust clearance for its acquisition of Cristal’s titanium dioxide business. Other clients include Seguros Bolívar, Diageo, Saint-Gobain and Automotores Toyota de Colombia.

A top choice in the area’, the 29-strong practice at Posse Herrera Ruiz provides strong multidisciplinary legal advice, especially in the M&A context, displaying ‘a very sophisticated knowledge of the local context’ and ‘excellent responsiveness and appropriateness of advice’. Oscar Tutasaura led the counsel to Lazard in the valuation, reorganization and $400m sale of Saludcoop’s strategic assets, including health insurance companies and healthcare institutions – notably Cafesalud EPS, the largest health insurer in Colombia covering 5.8 million individuals. Tutasaura and the much in-demand José Alejandro Torres, ‘a veteran advisor’ co-direct the firm’s compliance practice in addition to their transactional and general corporate activity. Jaime Cubillos, a ‘very strong M&A lawyer with solid knowledge about cross border M&A under Colombian and other key international jurisdictions’, advised Banmedica on the $2.7bn sale of its operations in Chile, Peru and Colombia to United Health Group. Jaime Herrera led the advice to IFM Investors in the €2.7bn global acquisition of 100% of OHL Concesiones. Gabriel Sánchez, who made partner in early 2017, and associates Vivianne Baptiste and Carolina Hernández are also noted. Other clients include Gas Natural Fenosa, Urbaser, The Abraaj Group, Grupo Orbis and AXA.

Posse Herrera Ruiz’s areas of expertise focus mainly on projects from industry sectors such as infrastructure, transportation, power energy, hydrocarbons and telecommunications. ‘Very well-known and respected’ figures Alessia Abello and José Alejandro Torres co-lead the 15-strong department, which is advising the Mayor’s Office of Bogotá on the contractual arrangements, legal implications and financing of the implementation of a traffic congestion charge in Bogota. The practice is also assisting POMA on the bid to design, build and install a mass transit cable car system in the city of Pereira. In another highlight, the firm advised Empresa Metropolitana Metro de Quito on the structuring, commercial implications and contractual options for the implementation of the operation and maintenance of the Quito Metro Line 1 Project. Jaime Herrera, Paola Aldana and Sebastián Lora are also key members of the practice. Conseciones Via Del Sur, Suez International, Cepsa and Risk Ventures are among other clients.
