His practice focuses on advising local and foreign clients in mergers and acquisitions, private equity and venture capital. The foregoing is combined with an extensive practice on joint ventures, shareholders agreements and corporate governance in general. With respect to capital markets, he advises issuers, investors and brokers, with a special focus on fund formation, structuring, registration and management of investment funds.

The dedicated 33-strong group at market leviathan Carey has extensive capital markets experience, which includes advising on corporate and securitised bonds and high-profile securities offerings, including cross-border IPOs, capital increases, debt issuances and securitisation. The firm also has an outstanding derivatives practice, while other areas of strength include structuring and registering vehicles, managing relations with stock exchanges, and regulatory issues. In recent, high-profile work, Salvador ValdésCristián Figueroa and Patricia Silberman were part of a team that advised Enel Américas on the structuring of a capital increase and equity public offering for $3bn. The practice advises a wide range of clients, such as multinationals, funds and foreign companies investing for the first time in Chile, along with local and Latin American companies expanding their businesses in Chile and across the region. In reportedly the largest M&A operation in Chile in 2019, Francisco Ugarte was part of a team that advised State Grid International Development on a purchase agreement for the acquisition of Sempra Energy’s stake in Chilquinta Energía (and its electric transmission and distribution subsidiaries) and Tecnored, as well as Chilquinta’s 50% stake in Eletrans companies. The long list of other highly experienced partners includes senior figure and chairman Jorge Carey, managing partner Jaime Carey, Jorge UgartePablo Iacobelli and Salvador Valdés. Market powerhouse Carey developed a specific venture capital (VC) practice group since 2012, and today houses a 17-strong specialist department, including three partners. The practice group has extensive experience in advising both domestic and international VC funds on their formation, with the establishment of effective structures to meet the needs of both investors and organisations that provide financial resources, and with purchases and sales. It also supports start-ups from their initial stages through to internationalisation or sale. Director and vice president of the Chilean Venture Capital Association, Francisco Guzmán, who is admitted to practice in both Chile and New York, led over 20 venture capital transactions during 2019.
