Mining Tier 1
Bofill, Mir & Álvarez Jana's specialist, seven-strong mining team regularly works alongside the firm's regulatory, environmental, corporate, tax, labour and dispute resolution departments. Recent work highlights included advising Japanese mining company Sumitomo Metal Mining on its acquisition of 30 per cent of the Quebrada Blanca mine from Canadian mining company Teck Resources; and acting for Molyb (Codelco) on the construction and development of a molybdenum recovery plant. Fielding an impressive 24-strong team, Bofill, Mir & Álvarez Jana is particularly noted for its advice to institutional investors -including insurance companies and public and private investment funds- on structured and syndicated financing arrangements; the practice is also experienced in structuring corporate and securitised bonds. Significant clients include Inversiones e Inmobiliaria Almonacid (IIA), EuroAmerica, Sandvik Credit and Energía Latina. Recnet matters saw the team act for Canada's Coro Mining on the structuring and execution of a $58m financing plan, including both a private placement and a rights offering; and advise IIA, as debtor, on the granting of a syndicated loan facility with a lender group of several Chilean Banks and life insurance companies. Corporate and M&A Tier 2
Bofill, Mir & Álvarez Jana's 21-strong practice group has broad experience in corporate matters, from M&A, capital markets and banking and finance, to project development and real estate; it is paticularly well known for structuring complex M&A-related corporate governance mechanisms. Recent mandates incuded acting for private equity firm Patria Investment on its $35m acquisition of a Chilean gym chain, undertaken in partnership with a Brazilian gym chain's controlling shareholders and involving the due diligence of 15 Chilean companies, tax planning and coordination with Brazilian lawyers. Alejandro Álvarez and Octavio Bofill co-head the corporate practice; also highly rated are Ana María Yuri, José Antonio Velasco and Rodrigo Saffirio. Dispute resolution Tier 2
Bofill, Mir & Álvarez Jana fields a highly regarded, 17-strong disputes practice. The civil and commercial litigation team is well known for public-interest litigation, while the firm's arbitration practice area stands out for its experience in construction, commercial law and gas, natural resource and energy disputes. Recent work saw the team advise Mineria Candelaria in a $41m claim brought by a community of fishermen alleging contamination of the waters around Punto Padro Port as a result of the incorrect loading and unloading of copper. Other matters include the successful defence of Bayer in a $1.4m tort case, representing CORFO in $40m and $150m damages claims and Minera Los Pelambres in a $10.5m civil liability case concerning water rights. The team underwent change in January 2019 when former litigation and criminal defence co-head Rodrigo Quintana exited (with former senior associates Ignacio Ried and Camila Flores) to establish QRF Abogados; the firm moved rapidly hiring former Gutiérrez, Waugh, Jimeno & Asenjo senior associate, Karen Werner, as partner, the same month. Clients include Socicam, EMR Capital and Bureau Veritas Chile are clients; the team recently advised Brazilian transportation hub operator Socicam, and its Chilean subsidiary, on over 20 claims against a local municipality for issuing fines that violate bidding conditions.
