Position

A leading lawyer in his field, Glen has a wealth of securities regulatory knowledge and capital markets experience guiding major underwriters and issuers in their domestic and cross-border equity and debt finance matters.

Glen regularly guides clients in their securities regulation and corporate finance matters, particularly in the area of domestic and cross-border securities offerings. He works with clients on a wide range of public equity and debt offerings, private placements and M&A transactions, with a particular emphasis on structured products.

Glen also counsels Canadian issuers and securities industry participants on regulatory compliance matters, including listings, governance and disclosure issues and regulation of market participants in Canada.

Glen is on the Securities Law Subcommittee of the Ontario Bar Association and is a past member of the Securities Advisory Committee to the Ontario Securities Commission.

Glen has been an adjunct professor at the University of Toronto Law School from 2007 to 2012, teaching the upper year securities regulation course. He has also spoken on securities regulatory issues at a number of conferences.

In the community, Glen serves as the Director and Chair on the Leadership and Governance Committee of the AIDS Committee of Toronto.

In a highlight example of its practice sweet spot, Toronto-based David Seville recently advised Scotia Capital, and the syndicate of agents, on Scotiabank’s C$1.5bn public offering of limited recourse capital notes (LRCNS). On the equity side, Toronto’s Rima Ramchandani acted for Home Capital on its issuer bid for up to C$115m of its common shares. Calgary-based Scott Cochlan co-heads the department, together with Seville and Ramchandani, and handles a range of corporate and securities work.
