Mining, Capital Markets and Funds
Partner that leads Guerrero Olivos´ mining practice and also our venture capital and private investment funds departments. He assists local and international companies in mining related matters, including corporate and M&A, joint ventures, regulatory, financing, project finance, litigation, contracts and technical mining work.
He is Professor of the course “Emprendimiento y Venture Capital”, from Pontificia Universidad Católica de Chile´s Master in Law.
He was speaker at “XV Jornadas de Derecho de Minería”, from Universidad de Chile (2017).
Also, he worked in the Chinese law firm Global Law Office as foreign associate.

He is an active member in the Chilean- Pacific Foundation. He also keenly participates in SONAMI (Mining National Corporation) as a legal consultant in regulatory matters and he is chairman of the Mining Committee of CESCO and is a permanent advisor for Asian investors regarding mining and energy projects.
He is Director of Administradora Mater, Administradora Bridge and Empresa Eléctrica Blanco, Aaktei Energía S.A., Lácteos Matthei and Colegio San Lorenzo.
He graduated from Universidad Diego Portales School of Law with honors (2001) and has a Master of Laws in Chinese Law (LL.M.), from the National University of Singapore (2005).
The 12-member department at Guerrero Olivos covers the full range of capital markets work, including regulatory and transactional matters; debt and equity issuances; the structuring of investments funds and management of their transactions; and assisting mutual and public investment fund managers with the registration and placement of private and public funds. Jorge Delpiano has longstanding experience advising on day-to-day capital markets matters; Miguel Coddou advises on local debt offerings, international securities issuances and regulatory matters; and Pedro Lyon is an investment funds specialist. At non-partner level, senior associate César Gálvez and associate Diego Rodríguez are names to note. Former partner Roberto Guerrero V left for Cuatrecasas in December 2020.
Guerrero Olivos‘ 24-strong department is particularly focused on international M&A in the TMT and energy and natural resources sectors, as well as deals involving the food and beverage and retail markets. Jorge Delpiano (‘proactive in generating proposals that resolve conflict points‘) and Pedro Pellegrini both focus on M&A, corporate restructurings and corporate governance; Juan Enrique Allard assists international clients from the TMT and energy industries with M&A and corporate reorganisations; and Pedro Lyon is highly regarded for mining-related M&A and private equity matters. Also active within the corporate and M&A team are senior associate César Gálvez and associate Diego Rodríguez, while recent hires -in February 2021- saw the recruitment of three associates, including Florencia Cortés, who was previously at Rivadeneira Colombara Zegers. Former managing partner Roberto Guerrero V, along with partners Macarena Ravinet, Josefina Yávar and Tomás Kubick all moved to Cuatrecasas‘ new office in January 2021.
With ‘solid mining sector knowledge‘, the ‘proactive‘ 11-strong department at Guerrero Olivos is consistently sought out by international and local mining companies, mining developers, private investment funds and financial companies. Key areas of work include high-value project acquisitions, financings, joint ventures and M&A. The firm also has robust mining-related regulatory, dispute resolution and environmental law practices. Practice head Pedro Lyon recently advised Anglo American Marketing, GAM Kimura and Citicorp on the international project financing and restructuring of mining project Minera Tres Valles. Benjamín Pérez, who was elevated to the partnership in January 2020, focuses on mining-related regulatory and environmental issues, mineral exploration, project development, mining agreements, due diligence, sale structures, and mining M&A; while Marco Zavala’s role in the department covers transactional matters and mining regulatory issues, along with project development and project finance.
Advising local and foreign VC investors, start-ups, corporate funds and incubators, Guerrero Olivos has been involved in Chile’s VC ecosystem for over 20 years. The team’s recent workload has been particularly focused on international VC matters, such as designing and developing strategies for the internationalisation of ventures, as well as the corporate/M&A side to cross-border acquisitions and sales. With over 15 years’ experience in the VC field, practice head Pedro Lyon stands out for his international M&A work for VC investors, and start-ups with an international market presence. Although former partner Josefina Yávar left the firm in December 2020, at associate level Francisca Martínez (who recently returned from LLM studies in the UK) is actively devoted to VC matters, and Diego Rodríguez focuses on the structuring of investment funds and international financing rounds.
