Career

Rodrigo Ochagavía has extensive experience in Corporate Finance, including Banking and Finance, Capital Markets, Mergers and Acquisitions and Energy. He has represented a broad range of clients, including lenders, borrowers, purchasers, sellers, governments, investors, financial advisers, issuers, credit enhancers and underwriters. In the energy sector he has represented generators, transmission and distribution companies. He was one of the two most voted Chilean lawyers in a survey conducted by Latin Lawyer in 2003 choosing the twenty best Chilean lawyers under forty years of age. He also has been chosen as one of the leading Chilean practitioners in Banking and Finance, Projects, Energy and Mergers and Acquisitions by Chambers and Partners; in Banking and Capital Markets by Who’s Who Legal; and in Banking and Finance and Mergers and Acquisitions by IFLR. Is a professor of Business Law at the Law School of the Pontificia Universidad Católica de Chile and of Mergers and Acquisitions in the Master in Business Law at Universidad de los Andes. He is a member of the Chilean Bar Association and the International Bar Association. He joined Claro & Cia. in 1997 and became partner in 2001. He was previously with Simpson Thacher & Bartlett in New York, 1996-1997 and Carey & Cia. in Chile,1990-1995.

Claro & Cia.'s group is highly rated for multi-lateral and cross-border financing, including high-value loans and project financing for hydro projects, renewables, thermo-electric and combined-cycle power plants, transmission lines, and oil and gas pipelines; it also assists with insurance and reinsurance matters, including financial guarantees, and regularly works alongside the firm's M&A, private equity, corporate restructuring, corporate finance and structured finance practices. The client list includes AES Gener, The Bank of Tokio - Mitsubishi UFJ, Itaú-Corpbanca, Citigroup Global Markets, Deutsche Bank Securities and Compañía Sud Americana de Vapores. Highlight mandates saw the team advise electricity producer and distributor AES Gener, as sponsor, on the restructuring of the $3bn financing of hydroelectric project Alto Maipo; assist the New York-based Glenfarne Group with a $300m mezzanine financing of equity obligations to fund new investments in the Americas; and act for Natixis (New York Branch) as lender, mandated lead arranger and administrative agent, in the amendment and extension of a $50m bridge loan granted to Cerro Dominado. M&A transactions represents a substantial part of the workload of Claro & Cia.'s practice, which advises on complex acquisition agreements including share and asset deals, cross-border mergers, takeovers and exchange offers of dual-listed companies. It particularly stands out for work involving publicly-listed clients and target companies, and fields lawyers with expertise in tender offers, securities laws and corporate governance. In corporate matters, the team also assists with domestic and international agreements for the purchase and sale of goods, distribution strategies, imports and exports, and supply and engineering, procurement and construction contracts. Recent matters saw team head José María Eyzaguirre B lead advice to Canada’s Nutrien (the world’s largest potash and fertiliser company), on the $5.2bn sale of its 32 per cent shareholding in Chilean public company SQM; and Rodrigo Ochagavía and Felipe Larraín act for The National Association of Professional Football in the $2.1bn sale of sports cable network Canal del Fútbol to Turner Broadcasting System. Cristóbal EyzaguirreMatías de Marchena, José Luis Ambrosy, Ariel Mihovilovic and Juan Leon are all also key team members, while José María Eyzaguirre F is an experienced associate. Claro & Cia.'s 16-strong, highly-rated, project finance and development practice advises on the development, construction, operation, acquisition, divestment, ownership and financing of energy and infrastructure projects; it also acts in project-related disputes. Clients include AES Gener, Intervial Chile, Glenfarne Group, Energía Llaima and InterEnergy Holdings; recent matters saw the team act for Alto Maipo (and sponsor AES Gener) on the $3bn refinancing of a 531MW hydroelectric project involving two run-of-river facilities. It also assisted Deutsche Bank Securities, as lender, with the $115m financing for 12 photovoltaic (PV) projects.
