Position

Ramón is one of the two senior partners of CMS Carey & Allende. He has been the Managing Partner since 2002, and leads the firm’s Corporate/M&A practice group.

His practice focuses primarily on M&A operations both in Chile as well as in other parts of Latin America, where he has played a major part in the international expansion of various Chilean companies.

He also represents foreign investment funds in private equity operations in Chile, and companies that receive said type of investments, advising in the design of structures for the participation of investors in company development as well as in exit mechanisms; establishing and maintaining excellent rapport with all parties involved.

In capital markets, Ramón advises issuing companies and investment banks in the issuance, registration, and placement of securities, assisting companies that enter into this market on all essential matters, such as ensuring transparency and timeliness in the delivery of all issuer information, and in the continual improvement of corporate governance, securing future access to the market as a source of financing.  In this regards, Ramón has lead various public takeover bids (OPA), including non-consensual takeover bids.

Ramón is a well-known expert in sectors related to telecommunications and information technologies. For several years, he served as CEO of a publicly traded telecom company, making him not only an expert in this sector, but also giving him unique insight into the business environments of CMS Carey & Allende’s clients. His experience as CEO also encompasses matters of accounting and finance, allowing him to actively participate in debt restructuring processes, and restructuring in the case of insolvency. Ramón is a frequent speaker in international IBA forums as well as Latin Lawyer on matters regarding private equity and M&A.

The 22- strong practice has extensive experience in corporate and commercial law and is particularly active in M&A deals that involve clients from the finance, energy, infrastructure, real estate and construction industries, as well as the telecoms and hotel/leisure sectors. Headline mandates saw the team advise salmon farmer Empresas AquaChile (EA) firstly on the $259 acquisition of Salmones Magallanes, and subsequently on the $1bn sale of a majority stake in EA to Chilean food giant, Agrosuper. It also assisted CTIT, an international provider of professional services to global insurance market clients, with the acquisition of insurance-focused technology consultancy and software provider, Inworx.  Ramón Valdivieso and Jorge Allende D (who ‘provides clear, practical advice‘) are the practice co-heads; other key advisers include the ‘highly experienced‘ Luis Felipe Arze, Jorge Allende ZFernando De Cárcer and Diego RodríguezIgnacio Errazquin is a key senior associate.
