Corporate and M&A

Within: Corporate and M&A

Corporate and M&A work is one of Barros & Errázuriz's core practice areas and the team's 'knowledge is not only legal... it also knows a lot about its clients' business'. The group regularly advises on the acquisition of controlling and minority interests, divestitures and corporate restructuring programmes; its lawyers also have vast expertise in the establishment of business structures and associations (including foreign investors setting up operations in Chile), as well as advice on joint venture and shareholder agreements. In addition, the practice regularly works in conjunction with the firm's banking and finance, competition, telecoms, energy and real estate groups on deals. Recent work highlights include acting for Japanese trading and investment conglomerate, Marubeni, on its $300m of Chilean gas distribution business GasValpo; and advising Agrosuper, Chile’s largest agribusiness conglomerate, on the $850m takeover of publicly-listed company Aquachile, the country’s largest salmon producer. In other work, the practice assisted Minera Valparaíso (together with its related entities) on the $502m sale of its majority stake in Puertos y Logística. The team heads are Pablo Guerrero, Bernardo Simian, Carlos Ducci and 'great partnerEmilio Vásquez; founding partner Fernando BarrosCristián Barros, Sergio  Eguiguren are additional names to note, while Vicente Cordero and Lucas Marinovic are experienced senior associates. Other active clients include Southern Cross, Evertec Group, Essbio, Grupo Inder and Colbún.

Projects and infrastructure

Within: Projects and infrastructure

The 26-strong team at Barros & Errázuriz advises developers, sponsors, constructors, operators, suppliers and financiers on the development and financing of large infrastructure and energy projects. Clients include Mitsui & Co, Banco Santander and Interchile; and recent highlights include advising Sociedad Concesionaria Vespucio Oriente (as project company), and Sacyr Concesiones and Aleatica (as sponsors), on the long-term project financing for an urban toll road concession. Eperienced partners Nicolás Balmaceda, Francisco De la Barra and Fernando Garrido are all highly regarded; following Gonzalo Molina's retirement from the practice, Bernardo Simian has moved from the firm's M&A group to replace him. A strong second line is made up of energy-head Cristóbal Pellegrini, María Olga Rivera and Enrique Barros V.
