Appleby regularly acts on structured finance deals and is particularly highly regarded for its assistance to collateral managers; it is also experienced in shipping and aircraft finance and structuring Property Assessed Clean Energy  securitisations, as well as advising on fund finance lending and the full spectrum of acquisition and leveraged financing, loan financing and novel structures. M&A, public-to-private deals, corporate finance and restructuring are also areas of expertise. It advised HPS Investment Partners (HPS) on the Cayman aspects of an equity commitment by HPS and other investors; this was in connection with the bid by Canada Pension Plan Investment Board and Baring Private Equity Asia to take private Nord Anglia Education, a Hong Kong-based operator of international schools. The key advisers are group banking and asset finance head Caroline Barton, Simon Raftopoulos, who handles a wide variety of corporate finance transactions, and Benjamin Woolf, who advises extensively on collateralised loan obligations (CLOs) as well as other structured finance products. The team acts for Reichmuth, a shareholder in the Madoff feeder fund, Herald Fund (Herald); Reichmuth was recently given leave to intervene before the Privy Council in appealing a dispute between Herald and Primeo Fund over a $490m distribution waterfall among redeeming investors. In other highlights, the practice successfully acted for Ernst & Young Cayman, resisting an application for disclosure of documents brought by the liquidators of a former audit client. Andrew Bolton is global practice group head, and Peter McMaster QC is local practice group head. The bedrock of Appleby's practice is international cross-border trust and estates advice and serving high-net-worth and ultra-high-net-worth clients and institutions globally. The team acted for the Trustee of the Poulton Family Trust in hostile proceedings brought before the Grand Court by the adult children of the settlor and beneficiaries, who were excluded from the trust by its settlor and protector; the matter raised legal issues concerning the validity of the exercise of the settlor and the protector's powers to exclude beneficiaries. In other matters, the practice was instructed to advise the Cayman Islands Chamber of Commerce (Chamber), as trustee of the Chamber’s pension plan for all Cayman-resident employees, which included drafting deeds of amendment and restatement for the master pension trust. Group private client and trusts head Carlos de Serpa Pimentel is 'a real leader'. His experience ranges from hostile beneficiary and trustee disputes to trustee directions applications, Beddoe applications and trust variation and restructuring proceedings; he is also regularly involved in contentious estate and probate matters.
