Career

Michael Frith is a Director in the Corporate department in the Bermuda office of Conyers Dill & Pearman. Michael joined Conyers in 2003 and became Partner (Director) in 2010.

His practice includes all aspects of Bermuda corporate law, with a particular focus on insurance regulatory and transactional matters. His experience encompasses all aspects of the insurance/reinsurance and ILS industry in Bermuda, including: new insurance incorporations (captives, commercial insurers, special purpose insurers), equity and debt financings of insurers and insurance groups, including private placements, listed debt offerings, IPOs and public equity offerings of insurance companies, cat bonds, sidecars, segregated account structures (both public and private act), collateralised reinsurance/retrocession vehicles, Lloyd’s funding vehicles and other financing and transactional work.

Conyers Dill & Pearman acts for a large number of Bermuda’s insurers and reinsurers, including class 4 and class E companies, as well as all other classes of insurers, including captive insurers and special purpose insurers; the practice routinely acts in anti-suit injunctions in relation to foreign proceedings, applications to the Supreme Court arising out of arbitrations, substantive arbitrations, and providing expert evidence on Bermuda law. Charles Collis heads the Bermuda insurance practice; Chris Garrod led advice to AXA on an agreement to acquire the Bermuda-based XL Group, a global property and casualty commercial lines insurer and reinsurer; and Michael Frith provided Bermuda legal and regulatory advice on the formation and group structure of the Langhorne Group, including Langhorne Holdings and Langhorne Reinsurance (Bermuda).
