Career

Graham B. R. Collis is a Director in the Corporate department in the Bermuda office of Conyers Dill & Pearman. Graham’s practice covers general corporate and commercial business with particular focus on insurance, securities and financing. Graham advises borrowers and lenders on cross-border financings. He also advises Bermuda insurance companies on all aspects of corporate and insurance law and other multinational groups on corporate relocations and restructurings. Graham is the co-author of the Bermuda chapter of Directors’ Liability and Indemnification: A Global Guide (published by Globe Law & Business).

Conyers Dill & Pearman¬†has¬†significant experience advising on IPOs, securitisation and ship and aircraft financing. The practice advised joint venture vehicle Einn Volant Aircraft Leasing Holdings on the creation, by institutional asset manager Caisse de d√©p√īt et placement du Qu√©bec and GE Capital Aviation Services, of a $2bn global aircraft financing platform for the acquisition of modern aircraft from a set of global airlines, to be leased back under long-term leases. Capital market highlights included acting for Liberty Global on the incorporation and subsequent listing of Liberty Latin America on the NASDAQ Global Select Market and OTC Market, and advising Dufry and its subsidiary Hudson on the approximately $749m IPO of Hudson's class A common shares. David Cooke¬†has particular expertise in securities and asset financing,¬†Graham Collis¬†advises borrowers and lenders on cross-border financings, and¬†Jason Piney¬†is recommended for¬†international asset finance transactions, including debt and equity offerings. Conyers Dill & Pearman has significant experience in advising on M&A, insurance and corporate restructuring. Developments include the funds team seeing a number of insurance-linked security (ILS) fund formations in 2017; fintech being a growing area for the firm's Bermuda office; and the shipping group seeing an increase in ship registrations in Bermuda. The practice continues to advise Seadrill on its group restructuring, including advice on effecting a large-scale restructuring of a Bermuda company and its group under Bermuda law, as well as parallel proceedings pursuant to a Chapter 11 filing under the US Bankruptcy Code and judicial proceedings in Bermuda. In other areas, Chris Garrod acted for Unikrn in the formation of Unikrn Bermuda and its Unikrn token sale and cryptocurrency platform; and Neil Henderson led advice, as Bermuda adviser, to Roivant Sciences (Roivant) on a $1.1bn equity investment in Roivant, led by SoftBank Vision Fund. Conyers acts for a large number of Bermuda’s insurers and reinsurers, including class 4 and class E companies, as well as all other classes of insurers, including captive insurers and special purpose insurers; the practice routinely acts in anti-suit injunctions in relation to foreign proceedings, applications to the Supreme Court arising out of arbitrations, substantive arbitrations, and providing expert evidence on Bermuda law. Charles Collis heads the Bermuda insurance practice; Chris Garrod led advice to AXA on an agreement to acquire the Bermuda-based XL Group, a global property and casualty commercial lines insurer and reinsurer; and Michael Frith provided Bermuda legal and regulatory advice on the formation and group structure of the Langhorne Group, including Langhorne Holdings and Langhorne Reinsurance (Bermuda).
