Jessica Agostinho advises clients on a broad array of employee benefits and executive compensation matters, including compliance with ERISA, the Internal Revenue Code, the Affordable Care Act, HIPAA and COBRA. Jessica regularly works with clients on issues relating to retirement plans, including drafting and amending qualified and non-qualified plans, fiduciary compliance for plan administrators, and termination of pension plans. She has experience advising clients on a variety of health and welfare benefit issues, including compliance with new requirements under the No Surprises Act and other recent legislation and guidance.
In addition, Jessica also handles compensation and benefits issues arising in a variety of transactional contexts. She regularly works on M&A transactions, including negotiation of employee benefits representations and covenants, assisting with benefits transition issues, and advising clients on executive compensation issues arising under Section 409A and Section 280G. Jessica also advises on compensation and benefits aspects of employment agreements and severance arrangements. In addition, she frequently works with clients on negotiating employee benefit vendor contracts and HIPAA business associate agreements for employee benefit plans.
