Career
Mr. Fitzpatrick has extensive experience representing issuers and underwriters in capital markets transactions, principally in the power and utility sector. Mr. Fitzpatrick advises clients on a broad range of securities transactions including public and privately placed offerings of equity, first mortgage bonds, various debt/equity hybrid instruments, subordinated and convertible debt, collateral trust bonds and multi-modal tax-exempt bonds. Mr. Fitzpatrick also advises clients on corporate governance and compliance matters with the US securities laws, including Sarbanes-Oxley Act and the Dodd-Frank Act. In addition, Mr. Fitzpatrick has developed a premier practice representing underwriters, structuring advisors and electric and natural gas utilities in connection with the design of utility rate securitization bond structures, including stranded costs, environmental costs, wildfire mitigation costs and storm costs transactions. Mr. Fitzpatrick also represents U.S. veterans on a pro bono basis in their pursuit of combat-related special compensation benefits.
