Jon Cox-Brown is a corporate partner specialising in mergers and acquisitions, fundraisings, joint ventures and restructurings.

Jon acts for a diverse range of clients ranging from large UK and international corporates to institutional investors and successful entrepreneurs.

Recent transactions include acting for Capita on its £412mil offer for Xchanging plc; Experian in relation to a number of strategic transactions including the sale of its global retail intelligence business to Tyco and the sale of its large hosted database business to Sky; BBA Aviation on its US128mil sale of APPH to Heroux-Devtek; Alkane Energy on its £80mil takeover by Balfour Beatty Infrastructure Partners; and the Evans family on the £80mil sale of WR Evans.

Jon has a strong track record in the financial and business services sectors. Examples of his experience include acting for Capital One on the sale of its deposit and bond business to Skipton Building Society; acting for Derbyshire Building Society in relation to the disposal of a deposit bank; acting for Capita on the £50m acquisition of Bluefin Corporate Consulting from AXA, the £32mil sale of National Dental Plan to Unum and the sale of Fish Insurance to PIB.

Jon has significant expertise in international work and is an active member of the Eversheds equity capital markets team.

Eversheds Sutherland (International) LLP has a strong track record in mid-market mergers, acquisitions and private equity-backed transactions, with instructions often involving a cross-border component. The team also handles capital market transactions and is especially adept at advising on transactions from the financial services, energy and natural resources, industrials, real estate and TMT sectors. Jon Cox-Brown led the advice for Capita on the £888m sale of its asset services division to Link Group, which involved multiple jurisdictions. In a recent private equity highlight, Cox-Brown worked with Ian Moore to lead advice for the founders and selling shareholders of Sygnature Discovery on the company’s management buyout, backed by Phoenix Equity Partners. Other highlights for the group included advising Experian on its acquisition of a 25% stake in London & Country Mortgages, with the right to acquire the remaining share capital at a later point in the future. Other key advisers include principal associate Matthew Hussey. Timico Technology Group and H2 Equity Partners are also on the client roster.

  • THE VAT E-COMMERCE PACKAGE

    A. INTRODUCTION   The VAT E-commerce Package adopted by the Council on the 5th of December 2017 includes several changes that will be gradually implemented, some changes will be effective as from the 1st of January 2019 and the rest as from the 1st of January 2021.
  • Doing business in Ukraine: turning point for the currency control in Ukraine

    One of the most hotly discussed topics in 2019 is currency control liberalization in Ukraine.The currency control liberalization was one of Ukraine‚Äôs priorities under the EU-Ukraine Association Agreement. At the beginning of 2019 the National Bank of Ukraine (hereinafter the ‚ÄúNBU‚ÄĚ) approved and promulgated all long-awaited regulations, serving as the basis for a new liberal¬†system of foreign currency control. The new¬†currency control¬†system will be launched on 7 February 2019, the same day as the Law of Ukraine¬† On Currency and Exchange Transactions¬† becomes applicable. The changes are aimed at deregulation, facilitating cross-border transactions with foreign currency and expanding the list of available foreign currency transactions.
  • New Long Term Residency Visas

    After much media coverage, Cabinet Decision 56 of 2018 (the Decision ) has been gazetted which introduces new long term residency visas to, amongst others, four categories of persons in the UAE. 
  • Significant Changes to Civil Procedure Code

    Significant changes to Federal Law No 11 of 1992 (the Civil Procedure Code ) will soon be coming into effect. These changes are introduced through regulations (the Regulations ) issued under the Civil Procedure Code and will come into effect on 16 February 2019.
  • Merger Clearance Matters

    The United Arab Emirates (the UAE ) promulgated legislation to specifically address the regulation of competition (being Federal Law 4 of 2012, or the Competition Law ) several years ago but until recently, it has been the case that the requisite implementing regulations and processes were not in place. This is no longer the case. Not only have the much anticipated implementing regulations been issued, the UAE Ministry of Economy (the Ministry ) (being the regulator in charge of administering the UAE competition regime) has now formed the required committee and issued the anticipated guidance and forms to allow concerned parties to make merger clearance submissions to the Ministry where required to do so pursuant to the Competition Law.
