Charmian is a Partner in our Human Resources group, specialising in pensions.

Charmian has extensive experience of advising companies and trustees on a diverse range of pension issues.

She has been referred to in the legal directories for several years and has been most recently described in the Legal 500 as a Leading Individual and in Chambers as someone who is highly practical and who "provide[s] very high quality and succinct advice". She has also been described previously in Chambers as having “grit and personal gravitas”.

Recent experience includes advising trustees and employers in relation to:

  • various de-risking/deficit reduction exercises (including pension increase exchange exercises, flexible retirement options and buy-ins and buy-outs)
  • compromise deals with the Pension Protection Fund and the Pensions Regulator
  • various restructuring arrangements including scheme mergers
  • closing defined benefit schemes to future accrual via different methods, including changing employment contracts to override pension scheme rights, using the scheme’s amendment power to terminate benefit accrual and incentivising members to opt-out of the scheme
  • managing employer debts, including scheme apportionment arrangements and flexible apportionment arrangements.

The ‘very efficient’ Ele Lovering  leads the team at Eversheds Sutherland (International) LLP , which has ‘real strength in depth both nationally and internationally’. Simon Daniel  ‘combines excellent technical knowledge with a strong commercial awareness’.  Charmian Johnson  has extensive experience of advising trustees and companies on a diverse range of pension issues.  Helen May  is a ‘very able and technical lawyer with strong presentation skills; she is very thorough and does not easily get fazed by technical questions even where there is not an easy answer’. Both are principal associates. Legal director Sarah Lown  is ‘practical and knowledgeable’ and associate Scott Rorke is praised for his ‘excellent organisational skills’. The practice is advising the Trustees of two of INEOS’s largest pension arrangements on a proposal from INEOS to close the schemes to future accrual. Once closed to future accrual significantly all active members of the Scheme on the closure date will become ‘special deferred members’ in the scheme and will receive enhanced levels of spouse, incapacity and death benefits. Manchester Airport Group Pension Schemes is another key client.

    The United Arab Emirates (the UAE ) promulgated legislation to specifically address the regulation of competition (being Federal Law 4 of 2012, or the Competition Law ) several years ago but until recently, it has been the case that the requisite implementing regulations and processes were not in place. This is no longer the case. Not only have the much anticipated implementing regulations been issued, the UAE Ministry of Economy (the Ministry ) (being the regulator in charge of administering the UAE competition regime) has now formed the required committee and issued the anticipated guidance and forms to allow concerned parties to make merger clearance submissions to the Ministry where required to do so pursuant to the Competition Law.
