Notable transactions include advising: Flybe plc on the initial public offering of its shares on the Main Market of the London Stock Exchange and the associated issue of £60 million of new shares; Bodycote plc on the Class 1 disposal of its world-wide testing business to a US private equity investor for £417 million; Zetex plc on the £96 million recommended takeover by way of scheme of arrangement by Diodes Incorporated; Renold plc on its £26.9 million firm placing, placing and open offer on the Main Market of the London Stock Exchange; Flybe plc on its €25 million acquisition of Finnish Commuter Airlines, in a newly formed joint venture with Finnair; XCAP Securities plc on the initial public offering of its shares on the AIM Market of the London Stock Exchange; and Vantage Airports Group on its acquisition of a majority shareholding in Peel Airports.
Prior to rejoining Eversheds in 2014, Paul worked for a leading offshore law firm in the Cayman Islands where he advised private equity funds and investment managers on investment fund formation, restructuring, portfolio acquisitions, disposals and mergers. Paul also advised on a broad range of international corporate and commercial matters concerning offshore entities registered in the Cayman Islands. Notable transactions included advising: a global investment firm on its US$4 billion fund raising in connection with its private equity fund's acquisition of an international food brand; a private equity fund on its €40.5 million disposal of its shareholding in an international food brand; and a private equity fund on its US$100 million equity investment from new investors.
