Specializes in the representation of private equity firms (and their portfolio companies) and public companies in mergers and acquisitions, investments, joint ventures, recapitalizations and other corporate transactions. Regularly counsel clients on corporate governance, shareholder activism and general corporate and securities law matters. Representations include Blackstone in numerous transactions, including its acquisitions of International Data Group, Phoenix Tower, QTS Realty, Ascend Learning, Chamberlain Group, Vungle, Gates Corporation and Travelport; investments in Clari, MagicLab, First Eagle, Life Science Logistics, Array Technologies, Chainalysis, Patria, TaskUs, Simpli.fi, Crocs, Cryoport, Walker Edison, FireEye and Liftoff Mobile; and its sale of HealthMarkets to UnitedHealth; BC Partners in its acquisitions of GFL Environmental, Waste Industries, NAVEX, EAB and Chewy, Inc., and its sale of Teneo; Microsoft Corporation in its acquisitions of LinkedIn, Nuance, ZeniMax Media, Nokia Corporation’s phone business, Skype, and GitHub and its announced acquisition of Activision Blizzard; Apria in its sale to Owens & Minor; Genesee & Wyoming in several acquisitions and its sale to affiliates of Brookfield Infrastructure and GIC; and Blue Buffalo Pet Products in connection with its sale to General Mills.
