The firm: With over 30 years of experience working with the most important Italian companies, the Italian team has established a strong position in the Italian market. The Italian practice focuses on all areas of corporate law, and assists on the Italian aspects of the firm’s international arbitration and antitrust matters. Nearly all members of the Italian team are internationally trained and dual-qualified and constitute one of the very few true international law teams based in Italy.
Areas of practice
Capital markets: the firm has a formidable global capital markets group representing both issuers and underwriters in the full range of Italian and international capital markets deals, with a strong focus on equity and high-yield transactions. The team represents issuers and underwriters on both US and Italian capital markets transactions.
M&A: the team focuses on complex domestic and cross-border M&A transactions, representing corporations, financial institutions and sovereign wealth funds in strategic as well as private equity investments and has been involved in some of the most important and innovative financial transactions in the Italian market.
Finance: the team represents commercial banks, investment banks, private equity sponsors, hedge funds and corporates in a wide range of financing transactions, including leveraged finance, acquisition finance and structured finance transactions. The firm’s worldwide presence and significant international experience facilitate its excellent structuring and deal management skills. It has a unique 360° view of the market derived from a distinguished record of counselling both borrowers as well as lenders, successfully completing complex transactions even in the most challenging market conditions.
Restructuring: the team assists clients in all issues related to debt restructuring and corporate reorganisations and represents lenders, equity holders and other creditors in out-of-court reorganisations, debt restructuring and restructuring proceedings. Leveraging on the firm’s integrated capabilities in insolvency and bankruptcy, general corporate law, finance and structured products, it works with distressed companies, management and financial advisors to craft business-focused solutions, whether an out-of-court arrangement or under a court-supervised process.
General corporate: the team regularly represents both private and listed companies operating in several industries in a variety of general corporate matters including: board representation; corporate governance; advice on Consob and Borsa Italiana requirements; structuring extraordinary corporate transactions; and key business contracts.
Litigation: the team has extensive experience in banking and financial cases, corporate and M&A litigation and commercial disputes covering a variety of matters and sensitive areas; the group effectively helps clients navigate the critical Italian litigation environment. The firm also deals with corporate investigation of fines and sanctions issued by Italian regulatory authorities, and their challenge before competent courts.
