Shearman & Sterling LLP's Valerio Fontanesi's practice covers leveraged, real estate and structured finance and distressed investments. His experience includes devising previously untested lending and investment structures. Fontanesi assisted with the debt refinancing surrounding a large portfolio of logistic assets in Italy.

Finance: the team represents commercial banks, investment banks, private equity sponsors, hedge funds and corporates in a wide range of financing transactions, including leveraged finance, acquisition finance and structured finance transactions. The firm’s worldwide presence and significant international experience facilitate its excellent structuring and deal management skills. It has a unique 360° view of the market derived from a distinguished record of counselling both borrowers as well as lenders, successfully completing complex transactions even in the most challenging market conditions.

Restructuring: the team assists clients in all issues related to debt restructuring and corporate reorganisations and represents lenders, equity holders and other creditors in out-of-court reorganisations, debt restructuring and restructuring proceedings. Leveraging on the firm’s integrated capabilities in insolvency and bankruptcy, general corporate law, finance and structured products, it works with distressed companies, management and financial advisors to craft business-focused solutions, whether an out-of-court arrangement or under a court-supervised process.

General corporate: the team regularly represents both private and listed companies operating in several industries in a variety of general corporate matters including: board representation; corporate governance; advice on Consob and Borsa Italiana requirements; structuring extraordinary corporate transactions; and key business contracts.
