Guevara & Gutiérrez S.C’s team handles a broad range of banking and finance work but is especially strong in project finance, share purchase agreements and syndicated loan agreements; it has also been increasingly busy in the mining sector. The practice acts primarily on lender-side mandates, where clients include Inter-American Development Bank (IDB), China Development Bank (CDB), International Finance Corporation (IFC) and Citibank. The Santa Cruz-based Enrique Barrios has been advising Simmons & Simmons on banking, securities and investment fund-related regulatory matters. In La Paz, practice head Ramiro Guevara counts banking law, project finance and capital markets among his key strengths.

Corporate and M&A

Widely recognised for its corporate experience and firepower, Guevara & Gutiérrez S.C’s corporate group is led by Jorge Inchauste and Ramiro Guevara in La Paz; with Enrique Barrios the key contact in Santa Cruz. The practice’s clients are largely international investors, and accordingly, the team’s core strengths -aside from M&A- are establishing and handling complex business structures, including joint ventures. Barrios continued to advise YPF, Argentina’s state-owned oil-and-gas company, on day-to-day matters regarding three of its Bolivian investment vehicles. Guevara and José Bernal assisted FLSmidth with negotiating and executing a commercial agreement with Fábrica Nacional de Cemento regarding a large new cement plant. On the M&A side, Inchauste acted for Avantica Technologies on initiating its operations in Bolivia through the acquisition of a local company. The Santa Cruz-based Rodolfo Mercado was also busy in 2016, assisting Finilager with the execution of its largest commercial contract in Bolivia, and advising its board members on corporate governance issues, as well as acting for SK Rental and Makita on their local investments and day-to-day operations.

For many, ‘the energy firm “par excellence”’, Guevara & Gutiérrez S.C has ‘sophsiticated knowledge of hydrocarbons’ and an increasing role in the mining sector. The practice is co-led by Enrique Barrios and Ramiro Guevara from Santa Cruz and La Paz, respectively. Although it handles some electricity matters, oil and gas is the department’s key strength and Santa Cruz-based Rodolfo Mercado is also very busy in this area. Barrios has considerable experience in project finance, gas export arrangements and acting for investors on upstream and downstream contracts with state-owned gas company YPFB. The team’s mid-stream capabilities were enhanced by the arrival of senior associate Vania Busch from YPFB Transierra in February 2017; her fellow senior associate Julio Landivar is also noted. Practice clients include Repsol, Petrobras Bolivia, YPF and Serpetbol.
