Daryn Grossman is co-chair of Proskauer’s global Corporate Department and head of the Life Sciences Group. For over 20 years, Daryn has designed and negotiated complex technology and intellectual property transaction structures, including strategic alliances, licensing, technology development and outsourcing transactions. Her clients include a wide range of life sciences, cloud computing, digital media, Internet, software, electronics, luxury goods, retail, fashion, entertainment, telecommunications and clean technology companies. Daryn represents both growth and mature companies, and counsels venture capitalists and strategic investors in evaluating intellectual property portfolios in connection with private equity investments, public offerings and mergers and acquisitions.

Proskauer Rose LLP specializes in patent litigation and corporate transactions, with a focus on the growing biosimilar industry. The practice is led by corporate lawyer Daryn Grossman in the New York office, who has advised Celgene on its acquisition of Juno Therapeutics. Los Angeles-based litigator Sige Gutman acted for Amgen in a patent matter under the Biologics Price Competition and Innovation Act (BPCIA) and concerning the client’s development and commercialization of a biosimilar to Genentech’s monoclonal antibody cancer therapy Avastin. Patent and IP transactional specialist Fangli Chen in Boston is another key contact.

The ‘very educated and cordial’ team at Proskauer Rose LLP has experience advising customers and vendors on evaluating, structuring, negotiating and managing outsourcing projects in sectors that include blockchain technology, healthcare, and media and entertainment. Recently, the practice group advised construction contractor Component Assembly Systems and C/F Data on various technology implementation, licensing and outsourcing agreements, and also handled technology-related outsourcing transactions for internet media company VerticalScope. The New York-based department is led by Jeffrey D. Neuburger (‘an extremely knowledgeable authority in the area of technology and media’), and also includes Robert E. Freeman and Daryn A. Grossman. Senior counsel Paresh Triverdi left the practice in July 2018 for an in-house position.

Jointly led by New York-based Jeffrey D. Neuburger and Robert E. Freeman, the team is advising Component Assembly and construction industry analytics provider C/F Data on technology licensing and outsourcing agreements, which recently included an investment in a blockchain-based construction company through a SAFE agreement. The firm also advised the internet media company VerticalScope on certain outsourcing, licensing and intellectual property agreements. Also recommended is Daryn A. Grossman, who is also based in New York. Paresh Trivedi left the practice in July 2018 for an in-house role.
