Ira Bogner is chair of the firm’s Tax Department and a member of the Employee Benefits & Executive Compensation Group. Ira provides guidance to clients on a wide variety of matters in the areas of employee benefits and executive compensation, including the investment of plan assets, employee benefit issues in mergers and acquisitions, and structuring, analyzing and maintaining investment funds that are suitable for plan investors. In addition, Ira actively represents individual executives in executive compensation matters with respect to the tax, securities law disclosure, corporate governance, stock exchange and other requirements relevant to such arrangements.

Proskauer Rose LLP’s nationwide practice handles the full range of employee benefits and executive compensation issues for high-profile listed companies including Celgene Corporation, Henry Schein and Discovery. In the New York office, Ira Bogner handles the ERISA fiduciary aspects of private fund formations and is involved in big-ticket M&A transactions for financial services companies, entertainment companies and tax-exempt organizations, and Andrea Rattner advised on the definitive agreement concerning Celgene’s $9bn acquisition of Juno Therapeutics. Further, Los Angeles-based Colleen Hart was involved in Ares Management’s $1.6bn acquisition of Convergint Technologies. Washington DC-based Joshua Miller has particular experience of management buy-outs in the healthcare, technology and private equity sphere. New York-based Michael Album is also recommended. Michael Sirkin retired in January 2019.

In New York, the ‘pragmatic’ team at Proskauer Rose LLP advises multinational corporations and other business entities, investment funds, institutional investors, tax-exempt organizations and executives on international tax planning matters. The team advised longstanding client AccorHotels on its $319m investment in SBE Entertainment Group, with tax work led by Stuart Rosow and Malcolm Hochenberg.  David Miller advised AllianceBernstein LP on the closing of AB Commercial Real Estate Debt Fund III, which closed at its hard cap of $3.1bn; Amanda Nussbaum and Martin Hamilton also worked on this matter. Ira Bogner leads the tax team. Jeremy Naylor joined as a partner from Cooley LLP in April 2018. Brian Huber was promoted to partner in 2018.
