Position

Stephen A. Boyko is the co-chair of Proskauer’s Corporate Department and a member of The Private Credit Group. His primary focus is in finance transactions, particularly those involving private sources of capital. He represents one of the largest client rosters in the industry, including an array of specialty finance companies, private debt funds, business development companies (BDCs), CLOs, sovereign wealth funds, insurance companies, hedge funds, private equity investors and issuers in connection with leveraged buyouts, growth capital investments, acquisition financings, going-private transactions, management buyouts, as well as other finance-related transactions, including innovative, first-in-kind transactions across the U.S. and in the UK.

Steve has had extensive experience in intercreditor and interlender issues, secured creditor and bankruptcy rights, debt restructurings, and private equity investments. In the past 20 years, he has closed finance transactions with an aggregate value of approximately $75 billion.

Steve actively represents over 50 clients in transactions that have ranged from $5 million to $1 billion.

Steve also has extensive capital markets experience, including the representation of issuers and underwriters in offerings of high-yield securities, debentures, medium-term notes, preferred stock, common stock and other structured securities.

Proskauer Rose LLP has a strong lender-side track record, having developed a reputation as a prolific counsel to direct lenders predominantly in the middle-market. Private credit clients such as Ares Capital and The Carlyle Group frequently turn to the firm for its advice on secured credit facilities and investment fund financings. The firm’s ability to handle novel and complex work remains a key strength, with partners regularly negotiating mezzanine and unitranche facilities; additionally, the team has worked on a number of complex preferred equity financings this year. All partners in the team are cross-trained in bankruptcy, enabling the practice to handle restructuring and distressed financing work as well.
