Position

Partner. Main areas of work comprise civil and commercial contracts, mercantile law, corporate law, and banking law. Legal advice, mainly in business affairs, corporate, banking, and financial sectors, including multilateral and foreign financial entities and corporations from abroad. Broad experience in loan agreements, project finance, security documents, commercial trusts, commercial documents, and arbitration. Since 2002, has acted as team leader for providing legal assistance to the new Quito International Airport project lenders: Overseas Private Investment Corporation (OPIC), Export Import Bank of the United States (EX-IM BANK), Export Development Canada (EDC), and Inter-American Development Bank (IDB). This project finance required an in-depth legal analysis and the preparation or review of extensive legal documentation regarding the project, financing, and collateral. Has also provided legal services to the Inter-American Development Bank (IBD) in loan transactions with companies from the Ecuadorian manufacturing and banking sectors. Has provided legal advice to a prestigious European multilateral financial entity, offering a legal analysis of the regulatory framework for foreign financing to institutions from the public and private sectors of Ecuador. Currently advising that entity on financing for a public-sector entity for the execution of a project in Ecuador.

Career

Extensive law career prior to joining the Firm includes acting as Deputy Legal Director and General Legal Director of the National Finance Corporation (Corporación Financiera Nacional), a leading public-sector financial institution. Has engaged in negotiations with foreign credit organizations for foreign loans and foreign investment promoted by the Corporation that involved financing from Europe and Latin America. Has expertise in commercial documents, corporate law, and financing transactions inherent to development banking. When becoming a partner of the Law Firm, provided legal advice to foreign and multilateral financial institutions, such as the Andean Development Corporation, (Corporación Andina de Fomento) (CAF), in transactions with the private, corporate, and banking sectors. Has acted as the outhouse local counsel representing CAF in Ecuador for approximately thirteen years. Since 2002, has acted as team leader for providing legal assistance to the new Quito International Airport project lenders: Overseas Private Investment Corporation (OPIC), Export Import Bank of the United States (EX-IM BANK), Export Development Canada (EDC), and Inter-American Development Bank (IDB). This project finance required an in-depth legal analysis and the preparation or review of extensive legal documentation regarding the project, financing, and collateral. Has also provided legal services to the Inter-American Development Bank (IBD) in loan transactions with companies from the Ecuadorian manufacturing and banking sectors. Legal assistance in financial transactions involving DEG- Deutsche Investitions – und Entwicklungsgesellschaft mbH. Has provided legal advice to the European Investment Bank, regarding the regulatory framework governing foreign public debt and on lending transactions with Ecuadorian public sector entities. Arbitrator of the Arbitration Courts of the Chamber of Commerce of Quito since 1993 to present. Author of several articles on company restructuring and bankruptcy and the regulation of these matters in America. These articles were published in the magazine, Recopilación de Leyes Comerciales del Mundo. Has written for Latin Lawyer articles about secured foreign loan transactions, including contracting aspects and submission to arbitration and foreign jurisdiction.
