Position

James R. Barry is a partner and one of the firm‚Äôs practice leaders of the Tax Transactions group at Mayer Brown LLP. He represents US corporations and individuals in tax planning for foreign and domestic operations, as well as foreign corporations and individuals in tax planning for US operations. His work includes tax planning for restructuring of existing foreign and US corporate groups, spin-offs, and acquisitions of foreign and domestic corporations, including obtaining private letter rulings from the Internal Revenue Service. He has been described as someone who is "very well versed in this highly technical area" (Chambers USA 2006). Jim also represents sponsors and investors in real estate funds, hedge funds, and other investment entities, as well as offshore insurance companies regarding US taxation of their income and related issues. He represents creditors and debtors in tax planning for workouts of financially troubled companies to minimize tax costs of restructuring and preserve tax attributes (including several detailed matters under Section 382 of the Internal Revenue Code). In addition, Jim represents corporations and investment bankers regarding tax implications of issuing financial instruments and securitization and other financing, as well as the impact of the alternative minimum tax. Mr. Barry has been ranked as a leading tax lawyer by various publications, including Chambers USA, Legal 500 and Illinois Superlawyers. Mr. Barry is a frequent lecturer and writer on tax topics. He has spoken at the University of Chicago Tax Conference, where he is a member of the planning committee, the Practicing Law Institute, the American Bar Association, OFII, TEI, ATLAS, Strategic Research Institute and other groups and has authored papers that have appeared in Taxes Magazine, PLI ‚Äď Tax Strategies for Corporate Acquisitions, Dispositions, Spin-offs, Joint Ventures, Financings, Reorganizations & Restructurings and other publications.

Mayer Brown is praised for its 'unique position on the tax consulting side in dealing with the taxation of global equities'. Recently, the team acted for DNB Markets, a Norwegian investment bank, in the private placement of $108m in investment-grade-rated project notes, to finance two Uruguayan solar power plants, operated by Atlas Renewable Energy; New York-based Russell Nance  led this matter. Nance also represented investment funds managed by CarVal Investors in the acquisition of a portfolio of non-prime credit card receivables from Signet Jewelers. In fund formation, Anne Marie Konopack in Chicago  represented LaSalle Investment Management in the formation of LaSalle Property Fund, an open-ended real estate fund. Other key names include Thomas Humphreys and the 'outstanding' Mark Leeds in New York, as well as Remmelt Reigersman in Palo Alto; they work with large banks and other financial institutions on debt products. New York-based Michael Marion's clients include Northcross Capital Management and Goldman Sachs Asset Backed Securities Corporation. James Barry and Jason Bazar lead the team. Incomings included JoonBeom Pae, who joined in New York in October 2018 from Weil, Gotshal & Manges LLP; Michael Lebovitz, who joined in Los Angeles from PwC the following month; and Zal Kumar, who joined in August 2018 was previously a director at the New York City department of finance. In what has been a successful period for Mayer Brown's international tax practice, James Barry in Chicago led on the tax aspects of Nestlé's $7.15bn agreement for a perpetual license with Starbucks to market, sell and distribute Starbucks consumer and food products globally, outside of Starbucks’ coffee shops. Jason Bazar in New York advised Altice, a Dutch television broadcast company, on its spin-off of Altice USA and group reorganization of Altice Europe. Kenneth Klein and Jason Osborn in Washington DC are also recommended. Recent team changes included Jared Goldberger's promotion to partner in New York in January 2018. In 2018, Remmelt Reigersman and Thomas Humphreys joined from Morrison & Foerster LLP in Palo Alto and New York respectively. In October 2018, JoonBeom Pae joined from Weil, Gotshal & Manges LLP in New York. Michael Lebovitz joined  in November 2018 from PwC.
