Marcin Perzanowski is a senior associate in the Finance practice of the London office having joined Mayer Brown in 2006. Marcin focuses on derivatives and structured products (both listed and unlisted). Marcin has extensive experience in advising on OTC and structured derivatives for banks, corporates, funds, pension schemes and insurance companies. He has worked on equity derivatives (including index and equity linked products, corporate equity derivatives and flow master confirmation agreements), credit derivatives (including credit linked notes and credit linked deposit agreements), commodities and commodity derivatives (including commodity linked notes and commodities leasing), as well as various types of FX and interest rates derivatives. He regularly advises on structured notes programmes (including drafting information memoranda as well any relevant final terms) and investment products referencing proprietary indices, managed accounts and similar structures. Marcin has considerable expertise in advising on the regulatory aspects of derivatives, in particular in respect of the European Markets Infrastructure Regulation and its various implementing measures, as well as any related documentation. He has negotiated a number of client clearing agreements and drafted reporting delegation agreements for his clients. Marcin has also written a submission to the European Parliament and the FCA on behalf of the Association of Pension Lawyers in respect of the new derivatives rules.


Marcin completed secondments to The Royal Bank of Scotland plc and HSBC Bank plc, where he advised on various aspects of derivative transactions, including corporate equity derivatives and various investment access products. Marcin's publications include three chapters in "Equity Derivatives ‚Äď Documenting and Understanding Equity Derivative Products," and two chapters on credit derivatives in "Sovereign Debt and Debt Restructuring." He has also co-edited "Commodity Derivatives ‚Äď Documenting and Understanding Commodity Derivative Products," together with Ed Parker. Admissions: England and Wales

Mayer Brown International LLP frequently advises on some of the largest and most complex derivatives matters in Europe for dealers, though it also has an impressive buy-side client base that includes hedge funds, asset managers, pension funds, insurance companies and multinational corporates. Its presence in international deals is due, in part, to the synergy between its London practice and its derivatives capability in New York, Hong Kong, Germany and elsewhere in Europe. This global presence enables it to be at the forefront of regulatory matters, particularly in regard to the impact of US and European regulatory developments such as the Dodd-Frank Act and EMIR. The London practice is also counsel to industry body ISDA on key matters. A highlight deal from 2017 was its advice to BT Pension Scheme Trustees on the implementation of new margin rules under EMIR, which included assisting with compliance issues and negotiating documentation with market counterparties. Global head of derivatives and structured products Ed Parker is 'extremely knowledgeable about ISDA documentation' and worked on that matter with counsel Marcin Perzanowski. They also acted for Zurich Group in EMIR compliance matters. US- and UK-qualified partner Chris Arnold is 'very responsive and knowledgeable and a pleasure to work with'. He recently assisted a leading global bank with the update of documentation for its structured products issuance across all asset classes. Counsel Nanak Keswani is also recommended for work on OTC derivatives, repos and structured products.
