Kate Ball-Dodd has a wide-ranging corporate practice that encompasses corporate finance, mergers and acquisitions (including public takeovers), equity fund raisings, joint ventures, and corporate governance. She advises a number of quoted companies and financial intermediaries on the UKLA Listing Rules and Disclosure and Transparency Rules, the Prospectus Rules, the AIM Rules, the Takeover Code and general company law. Kate speaks regularly at external conferences on corporate governance and takeovers.

The practice at¬†Mayer Brown International LLP¬†acts for issuers, underwriters and selling shareholders on a range of cross-border equity capital markets work, including IPOs, private placements, share buy-backs, demergers and global depositary receipt offerings.¬†Kate Ball-Dodd¬†and the New York- and French-qualified¬†Robert Flanigan¬†jointly head the department; Flanigan, who has been particularly active in the Spanish markets recently, was US counsel to Liberbank on its ‚ā¨500m rights offering and a related ‚ā¨120m accelerated book-build by several of its shareholders. He also acted for Promotora de Informaciones on its ‚ā¨563m share offering.¬†Colin Scagell¬†advised Peel Hunt as sponsor and bookrunner on IntegraFin Holdings' ¬£178m IPO on the LSE. Other clients of the team include GW Pharmaceuticals, Metrovacesa and Altice.¬†Rebecca Bothamley¬†made partner in January 2018;¬†Richard Smith¬†is also recommended.

Mayer Brown International LLP has longstanding relationships with some of the AIM market's most prominent and active NOMADs; practice head Kate Ball-Dodd, Robert Flanigan and associate Simon Allison acted for Investec Bank in the £40.7m placing of shares in Hollywood Bowl Group by way of an accelerated bookbuild. Flanigan and Allison also worked with Colin Scagell to advise Peel Hunt and Panmure Gordon as joint bookrunners on the £9.8m placing of new shares by Blancco Technology Group (also by way of an accelerated bookbuild). The team is also a strong performer acting for issuers, both on AIM and overseas exchanges, attracting particular praise for 'its knowledge and understanding of the FPI rules, Sarbanes-Oxley, AIM rules and Companies Act'; it is 'a one-stop shop for all legal compliance questions'. A recent highlight involved Robert Hamill and Rebecca Bothamley advising Velocys on a circa £18.4m firm placing and placing and open offer to fund an ongoing renewable fuels biorefinery. Other corporate clients include Entertainment One, Shearwater Group Plc, GBGI and Eland Oil & Gas.
