Position

Allison Yacker, co-chair of the New York Financial Services group, represents domestic and offshore hedge funds, including fund of funds, private equity funds, commodity pools, investment managers, managed account platforms, banks, family offices and broker-dealers on a broad range of corporate, securities, finance and other regulatory matters. She provides structuring, organization and ongoing advice related to hedge funds and private equity funds that employ a broad range of investment strategies and regularly counsels investment managers with respect to state and federal registration issues and preparation of compliance policies and procedures manuals. In addition, Allison advises funds and managers in connection with seeding arrangements.

Allison has extensive experience advising dealers and end user clients with respect to structured products and financing arrangements including derivatives, cross-border financing, asset-based lending, alternative investment strategies, including premium finance and life settlement, hedge fund lending, subscription finance and other financial products. She represents banks, broker-dealers and onshore and offshore hedge funds, including fund of funds, in structuring, documenting and negotiating various forms of financing and derivatives products, including repurchase agreements, securities lending agreements, equity and fund-linked swaps and options. She also represents clients in connection with collateralized fund obligations and life settlement securitizations.

Allison has significant experience with prime brokerage agreements, including the use of enhanced leverage platforms, over-the-counter (OTC) derivatives, futures and options agreements and global netting and cross-product netting arrangements. In connection with these products, she provides regulatory and structuring advice with an emphasis on counterparty risk mitigation.

She also provides advice with respect to executive employment matters and employment matters for hedge fund professionals.

From 2003 to 2004, Allison was seconded to a large international financial institution, where she drafted and negotiated various International Swaps and Derivatives Association (ISDA)- and OTC-related documents with a variety of interdealer and end user counterparties.

Allison is an active member of the firm’s Women’s Leadership Forum.

Chicago-based practice co-head Lance Zinman has an excellent understanding of the regulatory regimes underpinning activity undertaken by hedge funds and proprietary trading firms. Alongside New York-based Allison Yacker, he recently advised Waterfall Asset Management on the creation of a fund structure that facilitates investment by non-US persons in assets that generate income effectively connected to a US trade or business. Wendy Cohen is recognized as a 'standout practitioner' for broker-dealer matters and is a key member of the team, as are 'rock star' Henry Bregstein and Arthur Hahn, who also co-head the team from New York and Chicago, respectively. Other clients include Royal Bank of Canada, UBS and Futures Industry Association.

Fund formation mandates form the backbone of Katten's workload, however the team also has a strong reputation in the market for advising on quant funds and manager M&A deals. Lance Zinman and Allison Yacker advise Waterfall Asset Management on regulatory matters, fund formation, structuring and investment deals, while of counsel Fred Santo and Wendy Cohen assist Welton Investment Partners with fund restructuring matters.
