Partner Miguel Bermúdez de Castro's practice focuses on mergers and acquisitions and financing for projects and infrastructure. He has advised on a wide range of acquisitions representing clients in national and international matters and in sectors such as construction, energy, real estate, health care, sports, and media. Additionally, Miguel has worked with many Spanish companies in their corporate restructurings and with clients on international expansion into new markets such as Latin America. Miguel has extensive experience advising on public concessions including the recent public management concession for three hospitals in Madrid to Grupo Hima San Pablo. He has acted as a legal counsel on the corporate restructurings of Convertis Contact Center, Unificacion de Cartera Accionarial, and Vitania Group, among others. Recent clients he has advised include: All Sports Media, Banco Inversis, Bovis Project Management, David Lloyd Plc, Filmmaster, Grupo Cofares, Grupo Facundo, Grupo Hima San Pablo, Grupo Netco, Hope Stores, Indra, Lend Lease, The Royal Spanish Football Federation, and Tedec-Meiji. Miguel serves as secretary to the board of several companies and foundations and teaches at the IE Business School.

He drafted the UEFA Club Licensing System for Spain and has been an expert legal member of the UEFA Licensing Department of the Spanish Royal Football Federation (Real Federación Española de Fútbol).

A recent joint venture example is advising CBRE Global Investors on joining forces with Montepino Logística to develop a portfolio of assets. Miguel Bermúdez de Castro led the advice on that matter and also assisted building material producer Mapei with acquiring chemical company Tecnopol Sistemas.   • US rules regarding offshore accounts

    The Hiring Incentives to Restore Employment Act 2010, enacted on 18 March 2010, imposes a new US withholding tax and reporting regime, known as the Foreign Account Tax Compliance Act (FATCA). The FATCA regime applies generally to payments made after 31 December 2012, except on obligations (to be defined in future guidance) outstanding on 18 March 2012. Substantial effort is required by foreign entities to bring their worldwide operations and policies into compliance with the FATCA rules as of the effective date.
