Position

Alexandre de Verdun, Partner, practices in the area of corporate law focusing primarily on private mergers and acquisitions and private equity transactions. Alexandre has extensive experience in complex cross-border mergers and acquisitions involving strategic investors and investments funds. Alexandre also has been involved in several public mergers and acquisitions. In addition, his experience extends to the setting up of joint ventures, strategic alliances, and strategic outsourcing projects as well as complex commercial and industrial agreements. Recently, Alexandre has been very active in the mining and energy sectors (in particular the oil and gas industry, working on several major LNG projects). He also has strong experience in the defense and aerospace businesses. His recent transactions include the disposal by Société Générale of FamilyCredit Limited to L&T Finance Holdings Limited (India); the acquisition by Wabtec Corporation of Mors Smitt from Eurazeo PME and other investors; the sale by EDF to Total S.A. and Fluxys Europe B.V. of minority equity stakes in the €1 billion LNG terminal in Dunkerque France majority-owned by EDF; the acquisition by Brockway Moran & Partners of JCN, a French company in the distribution sector, as well as the acquisition of the assets of E-instruction; the buy-out of the French group Alltub by Aurora Resurgence; the sale by Mitsubishi to Pacific Metals Co., Ltd. of a minority shareholding in Strand Minerals (Indonesia) Pte Ltd., and the acquisition of Serphydose SAS by GE Healthcare.

  • US rules regarding offshore accounts

    The Hiring Incentives to Restore Employment Act 2010, enacted on 18 March 2010, imposes a new US withholding tax and reporting regime, known as the Foreign Account Tax Compliance Act (FATCA). The FATCA regime applies generally to payments made after 31 December 2012, except on obligations (to be defined in future guidance) outstanding on 18 March 2012. Substantial effort is required by foreign entities to bring their worldwide operations and policies into compliance with the FATCA rules as of the effective date.
